Common use of Survival of Warranties and Certain Agreements Clause in Contracts

Survival of Warranties and Certain Agreements. All agreements, representations and warranties made herein or in any Note Document shall survive the execution and delivery of this Agreement and the execution and delivery of the Securities hereunder. Notwithstanding anything in this Agreement or implied by law to the contrary, the agreements of the Company and the Guarantors set forth in sections 1.5, 1.6 and 1.8 shall survive repayment of the Notes and termination of this Agreement.

Survival of Warranties and Certain Agreements. All agreements, representations and warranties made herein or in any Note Document shall survive the execution and delivery of this Agreement and the execution and delivery of the Securities hereunder. Notwithstanding anything in this Agreement or implied by law to the contrary, the agreements of the Company Parent Issuer and the Guarantors set forth in sections 1.5, 1.6 and 1.8 shall survive repayment of the Notes and termination of this Agreement.

Survival of Warranties and Certain Agreements. All agreements, representations and warranties made herein or in any Note Document shall survive the execution and delivery of this Agreement and Agreement, the execution and delivery of the Securities hereunderhereunder and the Conversion. Notwithstanding anything in this Agreement or implied by law to the contrary, the agreements of the Company and the Guarantors Issuer set forth in sections 1.51.4, 1.6 1.5 and 1.8 1.7 shall survive repayment of the Notes and termination of this Agreement.

All agreements, representations and warranties made herein or in any Note Document shall survive the execution and delivery of this Agreement and the execution and delivery of the Securities hereunder. Notwithstanding anything in this Agreement or implied by law to the contrary, the agreements of the Company Parent and the Guarantors set forth in sections Sections 1.5, 1.6 and 1.8 shall survive repayment of the Notes and termination of this Agreement; provided that, subject to the payment of the Parent Expenses in accordance with the last paragraph of Section 1.5, any indemnity or expense obligation of Parent and its Subsidiaries under this Agreement shall terminate on the Closing (as defined in the Merger Agreement).

Notwithstanding anything in this Agreement or implied by law to the contrary, the agreements of the Company and the Guarantors Parent Borrower set forth in sections 1.5Sections 1.3(c), 1.6 1.8, 1.9 and 1.8 9.1 shall survive the repayment of the Notes Obligations and the termination of this Agreement.
