Survival of Representations, Warranties and Indemnities. The respective agreements, representations, warranties, and indemnities contained in this Agreement will remain in full force and effect regardless of any investigation made by or on behalf of you, any Underwriter or the Company, or any of your or their respective officers or directors or controlling persons, and will survive delivery of and payment for the Securities and the Unit Purchase Option.
Survival of Representations, Warranties and Indemnities. All representations, warranties, covenants and agreements contained herein or made in writing by the Company in connection herewith shall survive the execution, delivery and performance of this Agreement and the Ancillary Agreements, regardless of any investigation made by the Purchaser or on the Purchaser's behalf.
Survival of Representations, Warranties and Indemnities. The representations and warranties contained herein and the indemnifications contained in Article VIII hereof shall survive until each EDUCATION ONE Loan sold hereunder is paid in full.
Survival of Representations, Warranties and Indemnities. Each representation and warranty made or deemed to be made herein or pursuant hereto, and each indemnity provided for hereby, shall survive indefinitely.
Survival of Representations, Warranties and Indemnities. As to any Seasoned Loans purchased hereunder, the representations and warranties contained herein and the indemnifications contained in Article VIII hereof with respect to such Seasoned Loans shall survive until each such Seasoned Loan is paid in full.
Survival of Representations, Warranties and Indemnities. All representations and warranties made hereunder and in any document, certificate or statement delivered pursuant hereto or in connection herewith shall survive the execution and delivery of this Agreement and the making of the Loans hereunder. The obligation of the Borrower to make payments or to provide indemnities as provided for in this Agreement shall survive payment in full of the Loans, expiration of all Letters of Credit and termination of the Revolving Credit Commitments and this Agreement.
Survival of Representations, Warranties and Indemnities. All representations, warranties and indemnities of the parties set forth in this Agreement shall survive the termination or expiration of this Agreement.
Survival of Representations, Warranties and Indemnities. The representations and warranties of this Agreement, and indemnification in respect of the same, shall survive the Closing Date for a period of two (2) years, after which time such representations and warranties, and indemnification in respect thereof, shall be of no further force and effect unless prior to such time, the party claiming a breach has served on the other written notice of such claim or breach.
Survival of Representations, Warranties and Indemnities. The representations, warranties and covenants of the Seller and the Buyer contained in this Agreement shall survive the Closing until April 30, 2007, provided, however, that the representations and warranties set forth in Sections 5.2, 5.3(a)-(e), 7.4 and 7.11 shall survive indefinitely, provided further, however, the survival of the representations and warranties set forth in Section 5.16 hereof shall be governed by the provisions of Section 8.9 hereof.
Survival of Representations, Warranties and Indemnities. Subject to the limitations and other provisions of this Agreement, the representations, warranties, indemnities, agreements and covenants made by any party in this Agreement, or pursuant hereto, shall survive this Agreement and the Closing, for three years from the Closing Date, notwithstanding any investigation made at any time by or on behalf of the other parties.
