Notwithstanding any investigation representation made by any party to this Agreement, all covenants, agreements, representations and warranties made by the Company and the Investor Purchaser in writing herein and in the closing certificates delivered pursuant hereto shall survive the execution of this Agreement, the delivery to the Investor Purchaser of the Shares Common Stock being purchased and the payment therefor.
