Common use of Survival of Agreement; Severability Clause in Contracts

Survival of Agreement; Severability. (a) All covenants, agreements, representations and warranties made by any Pledgor herein and in the certificates or other instruments prepared or delivered in connection with or pursuant to this Agreement or any other Loan Document shall be considered to have been relied upon by the Collateral Agent and the other Secured Parties and shall survive the making by the Lenders of the Loans, and the Lender’s issuance of and participations in Letters of Credit, regardless of any investigation made by the Secured Parties or on their behalf, and shall continue in full force and effect until this Agreement shall terminate.

Survival of Agreement; Severability. (a) All covenants, agreements, representations and warranties made by any each Pledgor herein and in the certificates or other instruments prepared or delivered in connection with or pursuant to this Agreement or any other Loan Document shall be considered to have been relied upon by the Collateral Agent and the other Secured Parties and Parties, shall survive the making by the Lenders of the Loans, Loans and the Lender’s issuance of and participations in the Letters of CreditCredit by the Issuing Bank, regardless of any investigation made by the Secured Parties or on their behalf, and shall continue in full force and effect until this Agreement shall terminateterminated in accordance with Section 14.

Survival of Agreement; Severability. (a) All covenants, agreements, representations and warranties made by any the Pledgor and the Borrowers herein and in the certificates or other instruments prepared or delivered in connection with or pursuant to this Pledge Agreement or any other Term Loan Document shall be considered to have been relied upon by the Collateral Agent and the other Secured Parties Bank and shall survive the execution and delivery of any Term Loan Document and the making by the Lenders of the Loans, Loans and the Lender’s issuance of and participations in Letters of CreditExisting Loan, regardless of any investigation made by the Secured Credit Parties or on their behalf, and shall continue in full force and effect until this Pledge Agreement shall terminate.

(a) All covenants, agreements, representations and warranties made by any Pledgor Guarantor herein and in the certificates or other instruments prepared or delivered in connection with or pursuant to this Agreement or any other Loan Document shall be considered to have been relied upon by the Collateral Agent Agents and the other Secured Parties and shall survive the making by the Lenders of the Loans, Loans and the Lender’s Lenders’ issuance of and participations in Letters of Credit, regardless of any investigation made by the Secured Parties or on their behalf, and shall continue in full force and effect until this Agreement shall terminate.

(ai) All covenants, agreements, representations and warranties made by any Pledgor Guarantor herein and in the certificates or other instruments prepared or delivered in connection with or pursuant to this Agreement or any other Loan Document shall be considered to have been relied upon by the Collateral Agent Agents and the other Secured Parties and shall survive the making by the Lenders of the Loans, Loans and the Lender’s Lenders' issuance of and participations in Letters of Credit, regardless of any investigation made by the Secured Parties or on their behalf, and shall continue in full force and effect until this Agreement shall terminate.

(a) All covenants, agreements, representations and warranties made by any each Subsidiary Pledgor herein and in the other Loan Documents and in the certificates or other instruments prepared or delivered in connection with or pursuant to this Agreement or any other Loan Document shall be considered to have been relied upon by the Collateral Agent Trustee and the other Secured Parties and shall survive the making by the Lenders of the Loans, Loans and the Lender’s issuance of and participations in the Letters of CreditCredit by the Issuing Banks, regardless of any investigation made by the any Secured Parties Party or on their its behalf, and shall continue in full force and effect until this Agreement shall terminatehas been terminated in accordance with Section 15.

(a) All covenants, agreements, representations and warranties made by any Pledgor the Guarantors herein and in the certificates or other instruments prepared or delivered in connection with or pursuant to this Agreement or any other Loan Document shall be considered to have been relied upon by the Collateral Agent and the other Secured Parties and shall survive the making of the Loans by the Lenders of the Loans, and the Lender’s issuance of and participations in Letters of CreditCredit by the Issuing Bank, in each case regardless of any investigation made by the Secured Parties or on their behalfbehalf of any Secured Party, and shall continue in full force and effect until this Agreement shall terminate.

(a) All covenants, agreements, representations and warranties made by any Pledgor the Guarantors herein and in the certificates or other instruments prepared or delivered in connection with or pursuant to this Guarantee Agreement or any other Loan Document shall be considered to have been relied upon by the Collateral Administrative Agent and the other Secured Parties and shall survive the making by the Lenders execution and delivery of the Loansany Loan Document, and the Lender’s making of any Loans and the issuance of and participations in Letters any Letter of Credit, regardless of any investigation made by the Secured Parties or on their behalf, and shall continue in full force and effect until this Guarantee Agreement shall terminate.

(a) All covenants, agreements, representations and warranties made by any Pledgor herein and in the certificates or other instruments prepared or delivered in connection with or pursuant to this Agreement or any other Loan Document shall be considered to have been relied upon by the Collateral Agent Agents and the other Secured Parties and shall survive the making by the Lenders of the Loans, and the Lender’s Lenders' issuance of and participations in Letters of Credit, regardless of any investigation made by the Secured Parties or on their behalf, and shall continue in full force and effect until this Agreement shall terminate.

(ad) All covenants, agreements, representations and warranties made by any Pledgor Guarantor herein and in the certificates or other instruments prepared or delivered in connection with or pursuant to this Agreement or any other Loan Document shall be considered to have been relied upon by the Collateral Agent Agents and the other Secured Parties and shall survive the making by the Lenders of the Loans, Loans and the Lender’s Lenders' issuance of and participations in Letters of Credit, regardless of any investigation made by the Secured Parties or on their behalf, and shall continue in full force and effect until this Agreement shall terminate.

Survival of Agreement; Severability. (a) All covenants, agreements, representations and warranties made by any each Pledgor herein and in the certificates or other instruments prepared or delivered in connection with or pursuant to this Agreement or any other Loan Document shall be considered to have been relied upon by the Collateral Agent and the other Secured Parties and shall survive the making by the Lenders of the Loans, Loans and the Lender’s issuance of and participations in the Letters of CreditCredit by the Issuing Bank, regardless of any investigation made by the Secured Parties or on their behalf, and shall continue in full force and effect effect, until this Agreement shall terminateterminates pursuant to the terms of Section 14(a).

Survival of Agreement; Severability. (a) All covenants, agreements, representations and warranties made by any each Pledgor herein and in the certificates or other instruments prepared or delivered in connection with or pursuant to this Agreement or any other Loan Document shall be considered to have been relied upon by the Collateral Agent and the other Secured Parties and shall survive the making by the Lenders of the Loans, Loans and the Lender’s issuance of and participations in the Letters of CreditCredit by the Fronting Bank, regardless of any investigation made by the Secured Parties or on their behalf, and shall continue in full force and effect until this Agreement shall terminateterminate as provided in Section 14(a).
