Surrender of Warrant Certificates. Any Warrant Certificate surrendered for registration of transfer, exchange, substitution or exercise of Warrants represented thereby shall, if surrendered to the Company, be delivered to the Warrant Agent, and all Warrant Certificates surrendered or so delivered to the Warrant Agent shall be promptly cancelled by the Warrant Agent and shall not be reissued by the Company and, except as provided in this Article 2 in case of an exchange, transfer or substitution, or Article 3 in case of the exercise of less than all Warrants represented thereby, or Section 6.02 in case of mutilation, no Warrant Certificate shall be issued hereunder in lieu thereof. The Warrant Agent shall deliver to the Company from time to time or otherwise dispose of such cancelled Warrant Certificates as the Company may direct.

All cancelled Warrant Certificates held by the Warrant Agent shall be disposed of by the Warrant Agent in accordance with its customary procedures and certification of their disposal will be delivered to the Company from time to time as the Company may direct in writing.

Surrender of Warrant Certificates. Any surrender of a Warrant Certificate --------------------------------- for transfer pursuant to Section 3 above or upon exercise pursuant to Section 4 above shall be made (a) to the Company at its principal office or (b) to the Company at such other place or to such agent of the Company as the Company shall hereafter notify the Holders.

Surrender of Warrant Certificates. Warrant Certificates representing Warrants purchased pursuant to Section 5.1 hereof shall be surrendered to the Warrant Agent for cancellation and shall be accompanied by a direction of the Company to cancel the Warrants represented thereby.
Surrender of Warrant Certificates. All Warrants surrendered for the purpose of exercise, repurchase, exchange or registration of transfer, shall, if surrendered to the Company, be delivered to the Warrant Agent, and all Warrant Certificates surrendered or so delivered to the Warrant Agent shall be promptly canceled by the Warrant Agent and shall not be reissued by the Company, and, except as expressly permitted by any of the provisions of this Agreement, no Warrants shall be issued in lieu thereof. Upon written instructions of the Company, the Warrant Agent shall dispose of canceled Warrants in accordance with its customary procedures.
Surrender of Warrant Certificates. Concurrently with the execution of this Agreement and the issuance of the Exchange Shares, LLCII shall surrender the Warrants it holds in certificated form (which do not include the uncertificated Warrant Rights) to the Company, upon which surrender LLCII shall be deemed to be the holder of record of the Exchange Shares.
Surrender of Warrant Certificates. If the Warrants being exercised hereby are evidenced by a Warrant Certificate, the exercising Holder has caused the original Warrant Certificate to be surrendered for cancellation.
