SUPPLY OF SPARE PARTS. For a period beginning on the date hereof and ending on the [*****], or, if Seller (or Seller’s successor) discontinues the manufacturing of railcars for Third Parties or discontinues the manufacturing of aftermarket railcar parts and Components before the expiration of such [*****] period (“Discontinued Operations”), up to the date of Discontinued Operations, Seller (or such successor) shall make spare parts, fixtures and assemblies for the Railcars that are proprietary to Seller or Seller’s successors (“Spare Parts”) and shall be made available to Buyer for purchase at Seller’s then market price. In the event the date of Discontinued Operations is before the expiration of such [*****] period, Seller (or Seller’s successor) shall give Buyer as much advance written notice of such Discontinued Operations as possible, but in no event less than [*****] notice. In addition, if Seller learns in writing that any of its Suppliers will cease to make any Spare Parts, Seller shall give Buyer written notice of such Supplier’s decision promptly upon learning of same.
SUPPLY OF SPARE PARTS. Seller shall offer for sale Spare Parts necessary for the maintenance of Product during the term of this Agreement and for a period of five (5) years after the date of the last Product shipment by Exabyte as long as suppliers of parts or components are subjected to the 5 year requirement or as may be mutually agreed to by the parties on a case by case basis. Spare Parts shall be interchangeable with and of the same quality as those installed in Product and will be produced or inspected by Seller, in the same manner and according to the same procedure as Seller uses for parts installed in Product.
SUPPLY OF SPARE PARTS. The Supplier guarantees the availability of spare parts for the Equipment for at least ten (10) years after Delivery of the Equipment.
SUPPLY OF SPARE PARTS. After the end of serial production for the automobile industry, the Supplier must ensure the delivery of required spare parts for a period of at least 15 years.
SUPPLY OF SPARE PARTS. The Supplier shall guarantee the supply of spare and wear parts for a periodof minimum 10 years after the delivery.
SUPPLY OF SPARE PARTS. The Contractor shall be in the position to supply, to the full extent, NT with all components and spare parts for the ordered Trainsets, also including High-Cost Components and special tools, throughout the Lifetime of the Trainsets, cf. Exhibit A05-3.
SUPPLY OF SPARE PARTS. The Supplier is obliged to deliver spare parts for the customary period of technical use of its product or service for at least 10 years from the date of the last delivery of the relevant item. If the Supplier ceases to deliver spare parts after expiry of the aforementioned period, or ceases to deliver the rel- evant item during this period, we must be given the opportunity to place a last order or we shall be given, by the Supplier, the relevant manufacturing documents free of charge.
SUPPLY OF SPARE PARTS. The Supplier undertakes to ensure that spare parts for all products supplied by him for se- xxxx production are available for at least 15 years after the end of production (after sales). Adequate quantities of spare parts to be called off by the Customer shall be available on at least at the same conditions and at the same quality provided before the end of produc- tion. The parties will come to a mutually acceptable agreement on the reimbursement of any additional costs, e.g. for packaging, transport, etc., which may arise from the supply of spare parts. The Supplier undertakes to provide tools, machines, equipment, etc. (hereinafter referred to as “operating equipment”) required for the supply of spare parts and keep this equip- ment free of charge and in an operating condition for a minimum period of fifteen (15) years after the end of production (irrespective of the ownership of such operating equip- ment). The rights of the Customer in respect of the return of the equipment are not affect- ed by the above rule. In all cases the scrapping or sale of operating equipment shall require the prior written consent of the Customer.
SUPPLY OF SPARE PARTS. The S. shall deliver all spare parts for ten (10) years as from delivery / acceptance of the Supply.
SUPPLY OF SPARE PARTS. 5.1 The Producer shall supply Parts manufactured by the Producer exclusively for the benefit of the Iveco Group in the Territory for an exclusive resale in the Territory in accordance with the terms and conditions of the European Spare Parts Supply to be agreed upon no later than December 31, 2020.
