Supply of Milk Sample Clauses

Supply of Milk. During the Term of this Agreement, Supplier agrees to continually supply all of Supplier's Milk to ACM and ACM agrees to buy all of Supplier’s Milk which meets or exceeds the quality standards specified in clause 5 of this Agreement.
Supply of Milk. 5.1 Milk will be supplied in accordance with the following criteria: 5.1.1 The Seasonal Milk Butterfat and Protein Prices are indicated in the Milk Management Policy – Contracted Pricing Structure, at Schedule 1.11 5.1.2 In addition to the minimum price the Processor offers suppliers a volume incentive of $0.25cents per kilogram, as described in Schedule 1. 5.1.3 During the course of the year the Processor will undertake periodic reviews of market conditions to assess the need for step ups and pay those step ups according to market conditions. In the event a price step up is deemed appropriate the Processor will notify the ▇▇▇▇▇▇ in writing and the step up will be applicable to milk supplied from the date of the notification. To avoid uncertainty, step ups will not be predated to any supply of milk prior to the date of notification. 5.1.4 The price offered by the Processor is based on the “Reference Litre” as described in the Milk Management Policy incorporated into this contract at Schedule 1. 5.1.5 Incentives will be paid by the Processor based on the terms described in the Milk Management Policy incorporated into this contract at Schedule 1. 5.2 The Processor is responsible for arranging the collection of the milk. 5.3 The ▇▇▇▇▇▇ will supply milk, and the Processor will collect milk, insofar as it is possible, at the following times: Collection address: Days for supply: oMon oTue oWed oThu oFri oSat oSun oAll/Any Hours for supply: after 12.01am and before 11.59pm on the agreed days. 5.4 When the Processor collects milk at the days and times stated in subclause 5.3, the Processor will provide the ▇▇▇▇▇▇, as soon as practicable after the Processor tests the milk, with written documentation that identifies and accurately describes:12 5.4.1 sampling tests taken and test results in relation to milk collected; 5.4.2 quality of milk collected; 5.4.3 quantity of milk collected; and 5.4.4 Milk Supply Agreement Number under which milk is collected. 5.5 Test samples are to be collected from a point as close as reasonably practicable to the coupling at the time milk is transferred from the ▇▇▇▇▇▇’▇ vat to the Processor’s milk truck.
Supply of Milk. ACM agrees to buy Supplier’s Milk and Supplier agrees to supply Milk to ACM on a non-exclusive basis: 3.1.1 for the Price payable in accordance with clause 4; 3.1.2 which meets or exceeds the quality standards specified in clause 5; and 3.1.3 otherwise in accordance with the provisions of this Agreement; PROVIDED that the supply of Milk meets the criteria for supply set out ACM’s Statement of Circumstances.

  • Supply of Products 3.1 The Supplier warrants that the Products shall: (a) correspond with their description and any applicable Product Specification; (b) conform in all respects with the Order and any relevant sample; (c) be of satisfactory quality and fit for any purpose held out by the Supplier or made known to the Supplier by Ornua, expressly or by implication, and in this respect Ornua relies on the Supplier's skill and judgement; (d) be manufactured by properly trained and qualified personnel using all reasonable skill, care and diligence and in a good and workmanlike manner; (e) where they are manufactured products, be free from defects in design, materials and workmanship and remain so for the period set out in the Product Specification or, if none is specified, for at least 12 months after delivery; (f) comply with all applicable statutory and regulatory requirements relating to the manufacture, labelling, packaging, storage, handling and delivery of the Products; (g) comply with all relevant standards including any UK Standards, European Standards or International Standards applicable in the UK and the country or State where the Products are to be used; and (h) in the case of Products containing food stuffs, when delivered to Ornua, comply with all applicable food and hygiene legislation and regulations and best industry practice. 3.2 The Supplier shall ensure that at all times it has and maintains all licences, permissions, authorisations, consents and permits needed to carry out its obligations under the Contract in respect of the supply of Products. Breach of this Condition shall be deemed a material breach of the Contract. 3.3 Ornua may inspect and test the Products at any time before delivery. The Supplier shall remain fully responsible for the Products despite any such inspection or testing and any such inspection or testing shall not reduce or otherwise affect the Supplier's obligations under the Contract. 3.4 If following such inspection or testing Ornua considers that the Products do not comply or are unlikely to comply with the Supplier's undertakings at clause 3.1, Ornua shall inform the Supplier and the Supplier shall immediately take such remedial action as is necessary to ensure compliance. 3.5 Ornua may conduct further inspections and tests after the Supplier has carried out its remedial actions.
