Suppliers and Distributors. No material supplier, distributor, customer or service provider of the Company or its Subsidiaries has notified the Company or any of its Subsidiaries in writing, and to the Company’s Knowledge, there is no reason to believe, that any such material supplier, distributor, customer or service provider will not continue dealing with the Company or its Subsidiaries on substantially the same terms as presently conducted following closing of the Transaction, subject to changes in pricing and volume in the Ordinary Course.

Suppliers and Distributors. (a) Neither the Company nor any of its Subsidiaries has received any notice, oral or written, or has any reason to believe that any significant supplier, including without limitation any sole source supplier, will not sell raw materials, supplies, merchandise and other goods to the Company of any of its Subsidiaries at any time after the Effective Time on terms and conditions substantially similar to those used in its current sales to the Company and its Subsidiaries, subject only to general and customary price increases, except for supplies as to which comparable raw materials, supplies, merchandise, or other goods are readily available from other sources on comparable terms and conditions.
Suppliers and Distributors. Section 4.21 of the Company Disclosure Letter sets forth a true, complete and correct list of the twenty (20) largest suppliers, vendors, distributors or purchasing agents (each, a “Key Supplier”) of the Company and its Subsidiaries (determined on the basis of amounts paid by the Company and its Subsidiaries in the twelve-month period ended December 31, 2013), together with amounts paid to such Key Suppliers during such period. No Key Supplier has reduced or otherwise discontinued, or, to Knowledge of the Company, threatened to materially reduce or discontinue, supplying such goods, materials or services to the Company or any of its Subsidiaries on commercially reasonable terms.
Suppliers and Distributors. Set forth in Section 5.1(t) of the Company Disclosure Schedule is a list of the ten largest suppliers and ten largest distributors of the Company based on the dollar value of products purchased by the Company or by such distributor, as applicable, for the fiscal year ended March 3, 2007. Since such date, there has not been, nor, to the Knowledge of the Company, is it anticipated that, as a result of the Merger or the other transactions contemplated by this Agreement, there will be any material change in relations with any of the major suppliers or distributors of the Company and its Subsidiaries.

Except as set forth on Schedule 3.21, there has not been any material adverse change in, or written notice of an intent to materially adversely modify, the business relationship between the Companies and any supplier or distributor named on Schedule 3.15 or Schedule 3.21 and, to the Companies’ Knowledge, no such supplier or distributor intends to terminate or adversely modify any material term of its agreement with the Companies.
