Supplier Development and Localisation. The contractor shall comply with the SD&L matrix that has been signed at the beginning of the contract. The contractor has committed in subcontracting thirty percent of the work to designated companies that have already been submitted to Eskom during the tender stage. The contractor has also committed in training developing skills during the contract period and such skills and the number are clarity stated in the SD&L matrix which is part of the contract. The contractor shall submit quarterly reports on the progress of SD&L commitments. Failure to meet SD&L matrix commitments will result in the implementation of the 2.5 percent penalty on the invoice; this shall be applicable based on progress report to Eskom. Subcontracting

Supplier Development and Localisation. Local Procurement Content Local Procurement Content refers to value added in South Africa by South African resources. Where a single contract involves a combination of local and imported goods and/or services, the tender response must be separated into its components as per the Price Schedule included with the tender documents. Local procurement content is total spend minus the imported component. Local Procurement Content Eskom Target Tenderer Proposal 100% Skills Development Eskom reserves the right to negotiate with the tenderer on Eskom’s requirements. The outcome of the negotiations will be a contractual obligation. If negotiations are not required, the tenderer’s SDL&I undertaking will become a contractual condition. Skills development is designed to benefit the currently unemployed graduates from school; further education and training campuses; and universities. The composition of these candidates must be representative of the population demographics of South Africa. Note that these targets for skills development candidates categorically exclude Eskom employees and registered learners. The contractor in their submission will be required to indicate how many semi-skilled and unskilled jobs will be created and retained for local content. SD&L Penalty  Eskom will apply a penalty of 2.5% of the Contract Value for failure to meet SDL&I obligations.  For the duration of the contract, Eskom will retain 2.5% of every invoice (excluding VAT) as security for the fulfilment of all SDL&I Obligations. Supplier Development and Localisation. Supplier Development & Localisation’s mandate is to achieve maximum and sustainable local development impact through leveraging Eskom’s procurement spend in a manner that allows flexibility within the business in order to accommodate government local development initiatives and policies. Supplier Development and Localisation. The Contractor complies with and fulfils the Contractor’s obligations in respect of the supplier, development and localisation matrix (if applicable). The Contractor shall keep accurate records and provide the Project Manager with reports on the Contractor’s actual delivery against the above stated supplier development and localisation matrix. The Contractor’s failure to comply with his supplier development and localisation obligations constitutes substantial failure on the part of the Contractor to comply with his obligations under this contract.
Supplier Development and Localisation. (SD&L) The Contractor shall comply with the SD&L requirements stated below. The Contractor undertakes to achieve and fulfil these SD&L commitments during the Contract Period, or at an earlier date. The Contractor shall, during the course of the execution of this Contract, take all steps, and to do all things required so as to reasonably demonstrate, at any given time, that it is acting with due diligence and seeking in good faith to achieve and comply with the SD&L commitments. The Contractor shall keep accurate records and provide the Contract Manager with reports on the Contractor’s actual delivery against the stated SD&L obligations. The Parties shall meet monthly for the duration of the Contract Period, to discuss the Contractor’s skills development and subcontracting obligations in terms of this Contract, and where appropriate, agree in writing on a set of milestones which the Contractor shall satisfy with regard to the SD&L obligations. At such meetings, the Parties shall review the Contractor’s performance with regard to fulfilling the SD&L obligations of this Contract. The Contractor’s failure to comply with SD&L obligations constitutes substantial failure on the part of the Contractor to comply with his obligations under this contract.
