SUPPLIER COMMITMENT. 1. The Supplier (hereinafter “Primary Supplier”) agrees to provide opportunities for suppliers identified and Certified as a Minority, Woman, and Service-Disabled Veteran - owned and controlled Business Enterprises (hereinafter “MWDVBE”), in accordance, at a minimum, with the terms and conditions of this Exhibit. 2. In addition, if the scope of this Agreement includes the provision of products or performance of services for or in conjunction with a Verizon Federal government agreement, the then-current Federal Acquisition Regulations (FAR) requirements regarding MWDVBE subcontracting and reporting shall also apply. 3. Corporate Commitment - A commitment that the Foundation has the support of senior management, and that the Foundation contract is the Supplier’s primary offering to Participating Agencies, specifically to the California Community Colleges. The Supplier shall make its existing public and private agency clients aware of its Foundation contract, and upon the public and private agency’s request, such agency will be transitioned to the Supplier’s Foundation contract. Sales Commitment - A commitment that the Supplier will market Foundation contract and that the sales force will be trained, engaged and committed to offering Foundation agreement to Participating Agencies nationwide, with a further commitment that all Foundation sales be accurately and timely reported. Service Commitment - A commitment that the Supplier will provide at minimum the level of service defined in the agreement to any and all Participating Agencies purchasing through Foundation’s contract. The following are Program Standards intended to assist the supplier in successfully implementing the Foundation contract: Account Management Team – The Supplier shall provide an Account manager with the authority and responsibility for the overall success of the Foundation contract within the Supplier’s organization. SUPPLIER COMMITMENT. The Primary Supplier (Seller) agrees to provide opportunities for Certified (1) Suppliers identified as Minority (2),Woman (3) -owned (4), Business Enterprises ("MWDVBE")(5), Disabled, Service Disabled and Vietnam Era Veteran (6) Business Enterprises ("DVBE"), (hereinafter "Diversified Suppliers") in accordance, at a minimum, with the terms and conditions of this Section.
SUPPLIER COMMITMENT. Supplier shall use the mutually agreed [***] to [***] forecasts that Customer provides on a rolling basis to plan Campaigns during the applicable Rolling Forecast period. Any requested increase in supply of the Product in excess of the Maximum Production Capacity of Supplier is subject to mutual agreement of the Parties. The Parties acknowledge and agree that any placeholders for Supplier to reserve capacity for the Manufacture and supply of the Product for Customer shall be set forth in the Rolling Forecasts, which shall be prepared based on Customer’s assessment of its supply needs at the time and consistent with the Maximum Production Capacity of Supplier, and Supplier shall reserve such requested capacity for Customer. Customer may request to reschedule the timing of production from time to time in accordance with the Binding Forecast and Supplier shall use its commercially reasonable efforts to comply with the delivery schedule.
SUPPLIER COMMITMENT a. Supplier agrees to deliver the purchased Coils on the Delivery Date and that such delivery time will be reliable.
