Suits/Proceedings. No action, suit, proceeding or investigation by or before any court, administrative agency or other governmental authority shall have been instituted or threatened to restrain, prohibit or invalidate the transactions contemplated by this Agreement.

Suits/Proceedings. The Contractor agrees that any suit or proceeding initiated for the purpose of interpreting or enforcing any provision of the Contract or any matter in connection therewith shall be brought only in a court of competent jurisdiction in Orange County, Florida. The Contractor waives any venue objection, including, but not limited to, any objection that a suit has been brought in an inconvenient forum. The Contractor agrees to submit to the jurisdiction of the Florida courts and irrevocably agrees to accept service of process by U.S. mail.
Suits/Proceedings. There are no suits or proceedings pending or to the actual knowledge of the Guarantor threatened against or affecting the Guarantor or the Project Premises nor any proceedings involving the Guarantor by or before Governmental Authorities which bring into question the validity or enforceability of this Agreement or the Loan Documents to which it is a party and which, if determined adversely to the Guarantor, would have a materially adverse effect on the Guarantor’s financial conditions or businesses or the ability of the Guarantor to enter into and carry out the terms and provisions of this Agreement.
