Sufficiency of Resources. Buyer has available to it without restriction adequate funds sufficient to pay the Closing Merger Consideration and Escrow Deposit at the Closing.
Sufficiency of Resources. The terms of this Agreement are contingent upon sufficient resources being available to the Signatories for the performance of this Agreement. The Signatories with the assistance of the Lead Agency, AGFD, will develop a work plan each year, develop budgets, and, as funding is available, assess priorities and apply the available funding to those priorities as allowable within individual funding agreements. The decision as to whether sufficient resources are available to each Signatory shall be determined by each Signatory, shall be accepted by all other Signatories, and shall be final.

Notwithstanding the preceding sentence, all purchasers and grantees of any property or rights purporting to be released herefrom shall be entitled to rely upon any release executed by the Noteholder Collateral Agent hereunder as sufficient for the purpose of this Indenture and as constituting a good and valid release of the property therein described from the Lien of this Indenture or of the Collateral Agreements.

  • Adequacy of Funds The Purchaser has, or will have prior to or at the Closing, adequate financial resources to satisfy its monetary and other obligations under this Agreement including the obligation to pay the Merger Consideration in accordance herewith.
