Successors and Assigns; Counterparts. This Agreement shall be binding upon and inure to the benefit of the parties and their successors and permitted assigns. None of the Funds may assign this Agreement or any rights or obligations hereunder without the prior written consent of the Company. This Agreement may be executed in two or more counterparts, all of which when taken together shall be considered one and the same agreement.

Subject to the potential limitations (if any) described in the proviso in Section 1.2, Secured Party may provide for participations in any one or more Loans, and the granting of such participations will not require Debtor's consent. Notwithstanding the foregoing, any such assignment or participation must be no less than One Million Dollars ($1,000,000) in aggregate principal amount. This Agreement may be executed via fax and in several counterparts with the same effect as if the Parties executing the several counterparts had all executed one counterpart.
