Common use of Substituted Members Clause in Contracts

Substituted Members. In connection with the Transfer of Units of a Member permitted under the terms of this Agreement, the Transferee shall become a Substituted Member on the later of (a) the effective date of such Transfer, and (b) the date on which the Board approves such Transferee as a Substituted Member, and such admission shall be shown on the books and records of the Company.

Substituted Members. In connection with the Transfer of Units Shares of a Member Shareholder permitted under the terms of this Agreement, the Transferee shall become a Substituted Member on the later of (ai) the effective date of such Transfer, and (bii) the date on which the Board Managing Member approves such Transferee as a Substituted Member, and such admission shall be shown on the books and records of the CompanyLLC.

Substituted Members. In connection with the Transfer of Units of a Member Unitholder permitted under the terms of this Agreement, the Equity Agreements (if applicable), and the other agreements contemplated hereby and thereby, the Transferee shall become a Substituted Member on the later of (a) the effective date of such Transfer, and (b) the date on which the Board approves such Transferee as a Substituted Member, and such admission shall be shown on the books and records of the Company; provided, however, in connection with the Transfer of Units pursuant to a Permitted Transfer or Controlled Affiliate, the Transferee shall become a Substituted Member on the effective date of such Transfer.

In connection with the any Transfer of Units of by a Member Unitholder permitted under the terms of this Agreement, and the other agreements contemplated hereby and thereby, the Transferee shall become a Substituted Member on the later of (a) the effective date of such Transfer, and (b) the date on which the Board approves such Transferee as a Substituted MemberMember (which shall not be later than the date the documents and instruments required to be delivered pursuant to Section 10.2 hereof shall have been delivered), and such admission shall be shown on the books and records of the Company.

In connection with the Transfer of Units of a Member Unitholder permitted under the terms of this Agreement, the Equity Agreements (if applicable), and the other agreements contemplated hereby and thereby, the Transferee shall become a Substituted Member on the later of (a) the effective date of such Transfer, and (b) the date on which the Board approves such Transferee as a Substituted Member, and such admission shall be shown on the books and records of the Company; provided, however, that in connection with the Transfer of Units to a Permitted Transferee, the Transferee shall become a Substituted Member on the effective date of such Transfer.

In connection with the Transfer of Units of If a Member Transfers Units in a Transfer permitted under the terms of by this Agreement, then, subject to Article IX, the Transferee shall will become a Substituted Member on the later of (a) the effective date of such Transfer, and (b) . In connection with the Transfer of Units of a Member Unitholder permitted under the terms of this Agreement, the Equity Agreements (if applicable), and the other agreements contemplated hereby and thereby, the Transferee shall become a Substituted Member on the later of (a) the effective date of such Transfer, and (b) the date on which the Board approves such Transferee as a Substituted Member, and such admission shall be shown on the books and records of the Company; provided, however, that, in connection with the Transfer of Units pursuant to a permitted Transfer, the Transferee shall become a Substituted Member on the effective date of such Transfer.

Substituted Members. In connection with the Transfer of Units of a Member permitted under the terms of this Agreement, the Transferee transferee shall become a substituted Member (a “Substituted Member Member”) on the later of (a) the effective date of such Transfer, and (b) once the date on which the Board approves such Transferee as Substituted Member signs a Substituted MemberJoinder, and such admission shall be shown on the books and records of the CompanyLLC.

Substituted Members. In connection with the Transfer of Units of a Member permitted under the terms of this Agreement, the Transferee shall become a Substituted Member on the later of (a) the effective date of such Transfer, Transfer and (b) the date on which the Board approves such Transferee as a Substituted Member, and such . Such admission shall then be shown on the books and records of the Company. Notwithstanding the foregoing, in connection with the Transfer of Units of a Member to a Permitted Transferee permitted under the terms of this Agreement, such Permitted Transferee shall become a Substituted Member on the effective date of such Transfer.
