Subsidiary Transaction. Prior to entering into any agreement contemplating a transaction described in clauses (x), (y) or (z) of Section 5(c) that is a SpinCo Group Member Transaction and prior to consummating any such SpinCo Group Member Transaction: (A) SpinCo shall provide Parent with adequate advance written notice of the intent of a member of the SpinCo Group to enter into an agreement contemplating such SpinCo Group Member Transaction in accordance with the terms of Section 5(f)(iii) and (B) Parent determines in its reasonable discretion that such SpinCo Group Member Transaction would not reasonably be expected to adversely affect the Tax-Free Status of any of the Spin-Off Related Transactions (such discretion to be exercised in good faith no later than ten (10) Business Days after receipt of such notice and with the sole purpose of preserving the Tax-Free Status of the Spin-Off Related Transactions).

Subsidiary Transaction. It is the intention of MB to effect the Subsidiary Transaction immediately following the Effective Time or as soon as practicable thereafter. First SecurityFed shall cause First Security Federal Savings Bank, and MB shall cause MB Bank, to timely take all necessary or appropriate action relating to the Subsidiary Transaction (including the execution of documents and instruments), as reasonably determined by MB, to obtain all approvals and consents from Regulatory Authorities and third parties relating to the Subsidiary Transaction and to enable the Subsidiary Transaction to be timely consummated. 11 Next Page
Subsidiary Transaction. Immediately after the Redemption, the Company and the Subsidiary shall consummate, and the Selling Stockholders covenant for the benefit of the Purchasers and the Purchasers covenant for the benefit of the Selling Stockholders (and subject to the Purchasers’ and the Selling Stockholders’ rights to enforcement by way of specific enforcement by way of specific performance and other equitable relief if necessary) to take all such action necessary to consummate, the Subsidiary Transaction in accordance with the documents attached as Exhibit D hereto immediately after the consummation of the transactions contemplated by the Redemption Agreement.

All conditions precedent to the Permitted Acquisition pursuant to the Permitted Acquisition Documents shall have been fulfilled in all material respects and, as of the date of the consummation of the Permitted Acquisition, the Permitted Acquisition Documents shall not have been amended or otherwise modified and there shall not be any breach by the Borrower or, to Borrower’s knowledge, any other party thereto, of any term or condition of the Permitted Acquisition Documents. Upon consummation of the transactions contemplated by the Permitted Acquisition Documents to be consummated at the closing thereunder, the Borrower shall acquire good and legal title to the stock or assets and other property being transferred pursuant to the Permitted Acquisition Documents. None of the foregoing shall in any manner obligate the Borrower or any Subsidiary to consummate any Permitted Acquisition and the foregoing representation shall only apply if, when and to the extent that a Permitted Acquisition is consummated and the Permitted Acquisition Documents are executed and delivered.”

  • Reorganization Transactions The applicable Exercise Price and the number of Warrant Shares issuable upon exercise of this Warrant are subject to adjustment from time to time upon the occurrence hereafter of certain transactions by the issuer of the Warrant Shares, including dividends of stock or other securities or property, stock splits, reverse stock splits, subdivisions, combinations, recapitalizations, reorganizations, reclassifications, consolidations and any liquidation or dissolution of such issuer (each a "Reorganization"). In the event that the outstanding Common Stock issued by the Corporation is at any time increased or decreased solely by reason of a Reorganization, appropriate adjustments in the number and kind of such securities then subject to this Warrant shall be made effective as of the date of such occurrence so that the interest of the Holder upon exercise will be the same as it would have been had such Holder owned the underlying securities immediately prior to the occurrence of such event. Such adjustment shall be made successively whenever any Reorganization shall occur.
