Common use of Subsidiary Guaranty Clause in Contracts

Subsidiary Guaranty. The Subsidiary Guaranty or any provision thereof shall cease to be in full force or effect as to any Subsidiary Guarantor, or any Subsidiary Guarantor or Person acting by or on behalf of such Subsidiary Guarantor shall deny or disaffirm such Subsidiary Guarantor's obligations under the Subsidiary Guaranty, or any Subsidiary Guarantor shall default in the due performance or observance of any term, covenant or agreement on its part to be performed or observed pursuant to the Subsidiary Guaranty; or

Subsidiary Guaranty. The Subsidiary Guaranty or any provision thereof shall cease to be in full force or effect as to any Subsidiary Guarantorand effect, or any Subsidiary Guarantor or any Person acting by or on behalf of such Subsidiary Guarantor shall deny or disaffirm such Subsidiary Guarantor's obligations under the Subsidiary Guaranty, Guaranty or any Subsidiary Guarantor shall default in the due performance or observance of any term, covenant or agreement on its part to be performed or observed pursuant to the Subsidiary Guaranty; or

Subsidiary Guaranty. The Subsidiary Guaranty of any Subsidiary Guarantor or any material provision thereof shall cease to be in full force or effect as to any Subsidiary Guarantorand effect, or any Subsidiary Guarantor or any Person acting by or on behalf of such Subsidiary Guarantor shall deny or disaffirm such Subsidiary Guarantor's ’s obligations under the Subsidiary Guaranty, or any Subsidiary Guarantor shall default in the due performance or observance of any term, covenant or agreement on its part to be performed or observed pursuant to the Subsidiary Guaranty; or

Subsidiary Guaranty. The Subsidiary Guaranty or any provision thereof shall cease to be in full force or effect as to any Subsidiary Guarantorand effect, or any Subsidiary Guarantor or any Person acting by or on behalf of such Subsidiary Guarantor shall deny or disaffirm such Subsidiary Guarantor's obligations under the Subsidiary Guaranty, Guaranty or any Subsidiary Guarantor shall default in the due performance or observance of any term, covenant or agreement on its part to be performed or observed pursuant to the Subsidiary Guaranty and such default shall continue beyond any cure or grace period specifically applicable thereto pursuant to the terms of such Subsidiary Guaranty; or

Subsidiary Guaranty. The Subsidiary Guaranty or any provision thereof shall cease fail to be remain in full force or effect as to any Subsidiary Guarantor, or any Subsidiary Guarantor action shall be taken to discontinue or Person acting by to assert the invalidity or on behalf unenforceability of such Subsidiary Guarantor shall deny or disaffirm such Subsidiary Guarantor's obligations under the Subsidiary Guaranty, or any Subsidiary Guarantor shall default in deny that it has any further liability under the due performance Subsidiary Guaranty or observance of shall give notice to such effect (excluding any term, covenant or agreement on its part Guarantor which ceases to be performed or observed pursuant to the a Subsidiary Guaranty; oras a result of a transaction permitted by this Agreement).

The Subsidiary Guaranty given by any Guarantor (including any Person that becomes a Guarantor after the Closing Date in accordance with Section 6.13) or any provision thereof shall cease to be in full force or effect as to any Subsidiary Guarantorand effect, or any Subsidiary Responsible Officer of a Guarantor (including any Person that becomes a Guarantor after the Closing Date in accordance with Section 6.13) or any Person acting by or on behalf of such Subsidiary Guarantor shall deny or disaffirm such Subsidiary Guarantor's obligations under the Subsidiary Guaranty, or any Subsidiary Guarantor shall default in the due performance or observance of any term, covenant or agreement on its part to be performed or observed pursuant to the Subsidiary Guaranty; or

Subsidiary Guaranty. The Subsidiary Guaranty or any provision thereof shall cease to be in full force or effect as to any Subsidiary Guarantorand effect, or any Subsidiary Guarantor or any Person acting by or on behalf of such Subsidiary Guarantor shall deny or disaffirm such Subsidiary Guarantor's obligations under the Subsidiary Guaranty, Guaranty or any Subsidiary Guarantor shall default in the due performance or observance of any material term, covenant or agreement on its part to be performed or observed pursuant to the Subsidiary Guaranty and such default shall continue beyond any cure or grace period specifically applicable thereto pursuant to the terms of such Subsidiary Guaranty; or

Subsidiary Guaranty. The At any time after the execution and delivery thereof, (x) any Subsidiary Guaranty or any provision thereof shall cease to be in full force or effect as to any Subsidiary Guarantor, or (y) if any Subsidiary Guarantor or Person acting by or on behalf of such any Subsidiary Guarantor shall deny or disaffirm such Subsidiary Guarantor's obligations under the respective Subsidiary Guaranty, or (z) any Subsidiary Guarantor shall default in the due performance or observance of any term, covenant or agreement on its part to be performed or observed pursuant to the respective Subsidiary Guaranty; or

Subsidiary Guaranty. Subsidiary Guaranty. The After the execution and delivery thereof, the Subsidiary Guaranty or any provision thereof shall cease to be in full force or effect as to (other than the release of any Subsidiary GuarantorGuarantor in accordance with the terms hereof or thereof), or any Subsidiary Guarantor or any Person acting by or on behalf of any such Subsidiary Guarantor shall deny or disaffirm such Subsidiary Guarantor's obligations under the such Subsidiary Guaranty, Guaranty or any such Subsidiary Guarantor shall default in the due performance or observance of any material term, covenant or agreement on its part to be performed or observed by it pursuant to the Subsidiary Guaranty; or;
