Subsequent Parties. No person may become a Member of the Company without first assenting to and signing this Agreement. Any act by the Company to offer or provide member status, or reflect that status in the Company’s required records, automatically includes the condition that the person becoming a member first assents to and signs this Agreement. Furthermore, no Member may offer to assign or assign Governance Rights or Membership Units unless the assignee has assented to and signed this Agreement.

Subsequent Parties. Each Person who after the date of this Agreement, but prior to the closing of an IPO, acquires Company Stock shall, as a condition precedent to the acquisition of such Company Stock, (a) become a party to this Agreement by completing and executing a signature page hereto (including the address of such party), (b) execute all such other agreements or documents as may reasonably be requested by the Company, and (c) deliver such signature page and, if applicable, other agreements and documents to the Company at its address specified in Section 6.1. Such Person shall, upon its satisfaction of such conditions and acquisition of Company Stock, be a Stockholder for all purposes of this Agreement.
Subsequent Parties. Any holder of Shares who is currently not a signatory hereto or any future holder of Shares may, upon the written consent of the Company, become a party to this Agreement by executing an Accession Agreement substantially in the form attached as Schedule “B”, and upon such execution such Shareholder will be entitled to all the rights of and subject to all the duties of a Shareholder as if such Shareholder had been an original signatory to this Agreement.
