SUBSCRIPTION AND PURCHASE OF DEBENTURES. (a) Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 502 and deliver to the Depositor, Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of 77,320 Common Securities having an aggregate Liquidation Amount of $773,200 against payment by the Depositor of such amount. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to $25,773,200, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $25,773,200.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. (a) Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 502 and deliver to the Depositor, Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of Common Securities having an aggregate Liquidation Amount of $---------- against payment by the Depositor of such amount. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to $----------, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $----------.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. Contemporaneously with the execution of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Junior Debt Securities, registered in the name of the Trust and having an aggregate principal amount equal to $_____________, and, in satisfaction of the purchase price for such Junior Debt Securities, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $_____________, such amount being the sum of the amounts delivered to the Property Trustee pursuant to Section 2.4 and (ii) the first sentence of this Section 2.5.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. (a) Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 502 and deliver to the Depositor, Common Securities Certificates, registered in the name of the Depositor in an aggregate amount of Common Securities having an aggregate Liquidation Amount of $____________ against payment by the Depositor of such amount, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an Administrative Trustee on behalf of the Trust, shall subscribe to and purchase from the Depositor corresponding amounts of Debentures, registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to $_____________ (being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 204; and (ii) the first sentence of Section 205(a)), and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $_____________.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. (a) Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 502 and deliver to the Depositor, Common Securities Certificates, registered in the name of the Depositor in an aggregate amount of Forty-Six Thousand Four Hundred (46,400) shares of Common Securities having an aggregate Liquidation Amount of Four Hundred Sixty-Four Thousand Dollars ($464,000) against payment by the Depositor of such amount, which amount such Administrative Trustee shall promptly deliver to the Property Trustee. Contemporaneously therewith, an Administrative Trustee on behalf of the Trust, shall subscribe to and purchase from the Depositor, Debentures registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to Fifteen Million Four Hundred Sixty-Four Thousand Dollars ($15,464,000) (being the sum of the amounts delivered to the Property Trustee pursuant to: (i) the second sentence of Section 204; and (ii) the first sentence of Section 205(a)), and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of Fifteen Million Four Hundred Sixty-Four Thousand Dollars ($15,464,000).
SUBSCRIPTION AND PURCHASE OF DEBENTURES. Issuance of ---------------------------------------------------- the Common Securities. Contemporaneously with the execution and delivery of --------------------- this Trust Agreement, (x) the Administrative Trustees, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Trust and having an aggregate principal amount equal to $___________, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $__________, and (y) the Administrative Trustees, on behalf of the Trust, shall execute and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of __________ Common Securities having an aggregate Liquidation Amount of $__________ and, in satisfaction of the purchase price for such Common Securities, the Depositor shall deliver to the Trust the sum of $__________. In the event the overallotment option granted by the Trust with respect to the Preferred Securities pursuant to the Underwriting Agreement is exercised by the underwriters named therein, (x) the Administrative Trustees, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Trust and having an aggregate principal amount of up to $__________, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor an amount equal to 100% of the aggregate principal amount of the Debentures being purchased and (y) contemporaneously therewith, the Administrative Trustees, on behalf of the Trust, shall execute and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount (determined on a pro rata basis to the extent the overallotment --- ---- option is exercised) of up to ______ Common Securities having an aggregate Liquidation Amount of up to $__________ and, in satisfaction of the purchase price for such Common Securities, the Depositor shall deliver to the Trust an amount equal to 3% of the aggregate principal amount of the Debentures being purchased.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. (a) Contemporaneously with the issuance of Preferred Securities and Common Securities pursuant to Section 2.4(a) and Section 2.5(a), an Administrative Trustee, on behalf of the Trust, will subscribe to and purchase from the Depositor Debentures registered in the name of the Trust and having an aggregate principal amount equal to $206,186,000. In satisfaction of the purchase price for such Debentures, the Trust will deliver to the Depositor the sum of $206,186,000.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. Issuance of the -------------------------------------------------------- Common Securities. Contemporaneously with the execution and delivery of this ----------------- Trust Agreement, the Administrative Trustees, on behalf of the Trust, shall subscribe to and purchase from the Depositor the Debentures, by sending the $309,278,350 purchase price to the Property Trustee registered in the name of the Property Trustee (in its capacity as such) and having an aggregate principal amount equal to $309,278,350, and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $309,278,350. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.2 and deliver to the Depositor the Common Securities Certificates registered in the name of the Depositor, in an aggregate amount of 185,567 Common Securities having an aggregate Liquidation Preference of $9,278,350 against receipt of the aggregate purchase price of such Common Securities from the Depositor in the amount of $9,278,350.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. Issuance Of The Common Securities. On the Closing Date and each Option Closing Date, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 5.02 and deliver to the Depositor a single Common Securities Certificate registered in the name of the Depositor, in the aggregate amount acquired by the Depositor on such Closing Date or Option Closing Date pursuant to the applicable Common Securities Purchase Agreement against payment of the purchase price of such Common Securities from the Depositor as specified in the Common Securities Purchase Agreement. Contemporaneously therewith, the Administrative Trustees, acting jointly or severally on behalf of the Trust, shall on the Closing Date and each Option Closing Date subscribe to and purchase from the Depositor the Debentures, registered in the name of the Property Trustee (in its capacity as such) and having an aggregate principal amount equal to the aggregate Liquidation Preference of Preferred Securities and the aggregate Liquidation Amount of the Common Securities acquired on the Closing Date and each Option Closing Date and, in satisfaction of the purchase price for such Debentures, the sum of the amounts payable on the Closing Date and each Option Closing Date pursuant to (i) the third sentence of Section 2.04, and (ii) the first sentence of this Section 2.05 shall be payable to the Depositor.
SUBSCRIPTION AND PURCHASE OF DEBENTURES. Contemporaneously with the execution and delivery of this Trust Agreement, an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 502 and deliver to the Depositor Common Securities Certificates, registered in the name of the Depositor, in an aggregate amount of Common Securities having an aggregate Liquidation Amount of $ against payment by the Depositor of such amount. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Property Trustee on behalf of the Trust and having an aggregate principal amount equal to $ , and, in satisfaction of the purchase price for such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the sum of $ . If the underwriters exercise their Option and there is an Option Closing Date (as such terms are defined in the Underwriting Agreement), then an Administrative Trustee, on behalf of the Trust, shall execute in accordance with Section 502 and deliver to the Depositor Common Securities Certificates, registered in the name of the nominee of the initial Clearing Agency, in an aggregate amount of Common Securities having an aggregate Liquidation Amount of up to $____________ against payment by the Depositor of such amount. Contemporaneously therewith, an Administrative Trustee, on behalf of the Trust, shall subscribe to and purchase from the Depositor Debentures, registered in the name of the Trust and having an aggregate principal amount of up to $_________, and, in satisfaction of the purchase price of such Debentures, the Property Trustee, on behalf of the Trust, shall deliver to the Depositor the amount received from one of the Administrative Trustees pursuant to the last sentence of Section 204 (being the sum of the amounts delivered to the Property Trustee pursuant to (i) the second sentence of Section 204 and (ii) the third sentence of this Section 205).
