Subordination of Management Fee. Lessee agrees that following receipt of written notice that an Event of Default hereunder has occurred, and prior to any cure thereof, Lessee shall not pay Manager any fees or reimburse Manager for any expenses pursuant to the Management Agreement, regardless of whether accrued or not. Any payments made by Lessee under the Management Agreement in violation of this Section 40.04 shall be returned by the Manager to the Lessee upon written notice by the Lessor to the Manager.

Subordination of Management Fee. (a) The Manager acknowledges that its rights to payment are subject to and are subordinated under the Financing Agreement. In the event that the Manager's fees and expenses are unable to be paid because of the restrictions of the Financing Agreement, the Manager agrees that its sole recourse hereunder shall be to terminate this Agreement but that it shall not be entitled to damages hereunder other than to recover sums due and owing to it for services rendered and expenses incurred to the date of termination. In the event that the Manger does not so elect to terminate this Agreement, the foregoing shall not be construed to be a waiver by any unpaid fees and expenses. Furthermore, the Manager agrees that so long as any Bond remains Outstanding, the Manager shall not, without the prior written consent of a Majority of Owners, collect or attempt to collect all or any part of its management fees and expenses whether through commencement of proceeding against the Owner or otherwise, or join with any creditor in any such proceeding or any Reorganization proceeding unless such management fees and expenses could be paid under the terms of the Financing Agreement.
Subordination of Management Fee. Owner and AdCare agree that, for so long as AdCare or any affiliate thereof shall manage the Facility, payment of the Management Fee shall be fully subordinated to the prior payment, as and when due, of all: (a) debt service (principal, interest and premium, if any) on the Series 2010A and Series 2010B Bonds (the “Series 2010 Bonds”), which were issued by The Medical Clinic Board of Xxxxxx First Mortgage Healthcare Facility Revenue Bonds to provide the funds whereby the Owner acquired the Facility; and (b) all other sums that the Owner may, at any time, be required to pay for deposit into any fund or account established under the Trust Indenture pursuant to which the Series 2010 Bonds were issued.

In carrying out the foregoing, (a) amounts received shall be applied in the numerical order provided until exhausted prior to application to the next succeeding category and (b) each of the Lenders shall receive an amount equal to its pro rata share (based on each Lender’s Commitment Percentages) of amounts available to be applied.
