Submission to Courts. Notwithstanding the foregoing, at any time Homes England, at its sole discretion, may choose to submit any Dispute to the courts of England. If a process pursuant to either Clause 33.2 (Negotiation) and/or 33.3 (Referral to Expert) has been initiated, at the time that Homes England chooses to submit the matter to the courts of England and Wales, then it is agreed that such process is to be immediately discontinued without any binding determination being made. Each Party hereby irrevocably submits to the exclusive jurisdiction of the courts of England and Wales.

Submission to Courts. 40.1 Subject to Clause 39 (Arbitration), the courts of [England] have exclusive jurisdiction to settle any Dispute (including a dispute regarding the existence, validity or termination of this Agreement or relating to any non-contractual or other obligation arising out of or in connection with this Agreement or the consequences of its nullity).
Submission to Courts. 12.8.1 Recourse to courts is limited as expressly provided in Sections 12.6 and 12.7. The provisions of Section 12.8.2 shall apply with respect to such access to courts as is consistent with Sections 12.6 and 12.7.
