Sublease Agreement. Sublandlord and Subtenant hereby represent that a true and complete copy of the Sublease Agreement is attached hereto and made a part hereof as Exhibit A.
Sublease Agreement. Sublandlord and Subtenant hereby represent that a true and complete copy of the Sublease is attached hereto and made a part hereof as Exhibit A, and Sublandlord and Subtenant agree that the Sublease with respect to Landlord and/or the Sublet Premises shall not be modified without Landlord’s prior written consent, which consent shall not be unreasonably withheld.
Sublease Agreement. If the Sublease Agreement is not terminated by the Landlord within 45 days after Closing, Buyer may cause Xxxxxxx to terminate the Sublease Agreement in accordance with the terms of the Sublease Agreement, whereupon Seller shall be responsible for and will pay all costs, and other expenses under the lease for the period from and after the date 90 days after Closing until the termination of the Term (the “Post 90 Day Period”); provided, however, that (i) in no event shall Seller be liable for any losses, costs or expenses incurred prior to or after the Post 90 Day Period which arise out of Buyer or its Affiliates’ breach of the Sublease Agreement or out of Buyer or its Affiliates negligence or willful misconduct with respect to such Sublease Agreement, and (ii) if at any time after the Closing, Seller requests that Buyer terminate or cause Xxxxxxx to terminate the Sublease Agreement, Buyer shall terminate the Sublease Agreement within 2 business days of such request and, in such event, Buyer shall be responsible for all costs and expenses under the Sublease Agreement from the Closing Date until 90 days after the Closing Date, and Seller shall be responsible for all costs and expenses under the Sublease Agreement for the Post 90 Day Period; provided further, however, that all of the foregoing provisions above shall not apply where, on or prior to the Closing Date, the Seller has delivered to the Buyer a fully executed Sublease Termination Notice. For the avoidance of doubt, it is understood and agreed that Seller will be responsible for any extraordinary costs and expenses of the Company with respect to the Sublease Agreement and the termination thereof (for example, breakage fees or penalties) and all other costs and expenses under the Sublease Agreement during the Post 90 Day Period, if any, and Buyer shall be responsible for (i) any costs or expenses of the Company which are for the Company’s account in its capacity as a sub-tenant under the Sublease Agreement (whether or not Buyer causes the Company to occupy the facility during the period following the Closing and through and until the beginning of the Post 90 Day Period), and which are apparent on the face of the Sublease Agreement (for example, those obligations relating to rent, utilities, taxes, maintenance and insurance) and (ii) any costs, obligations or liabilities which are caused by the Buyer’s or the Company’s breach of the Sublease Agreement, negligence or willful misconduct after the Closing...
Sublease Agreement. At or prior to the Closing, the Company shall execute and deliver a sublease agreement with MagP Inovação, S.A. as sublessor, and obtain all requisite approvals in connection therewith, on terms no less favorable to the Company than would be obtained from an independent third party and otherwise reasonably acceptable to HL.
Sublease Agreement. Sublandlord hereby subleases the Subleased Premises to Subtenant, and Subtenant hereby subleases the Subleased Premises from Sublandlord, on the terms and conditions set forth in this Sublease.
Sublease Agreement. 1. AIRLINE shall not sublet its Premises, except to an Affiliated Airline or Alliance Partner, in whole or part, without the advance written approval of MAC. AIRLINE may sublet or license the Premises to an Affiliated Airline or an Alliance Partner without the advance written approval of MAC.
Sublease Agreement. On the terms stated in this Sublease, Sublandlord leases the Premises to Subtenant, and Subtenant leases the Premises from Sublandlord, for the Term beginning on the Commencement Date and ending on the Termination Date unless sooner terminated pursuant to this Sublease.
Sublease Agreement. Effective as of the Closing, APS shall enter into the Sublease Agreement with Cobalt.
