Subject to Annual Appropriations. Each payment under this Obligation shall be subject to annual appropriation by the Village in accordance with the requirements for revenue obligations and in a manner approved by the Village’s bond counsel and in accordance with the Development Agreement.

If either Party fails to appropriate funds for its obligations under this Agreement for a fiscal year, this Agreement shall automatically terminate on the first day of the fiscal year for which funds have not been appropriated, and the Parties shall have no further obligations or liabilities to each other under this Agreement, except for payment for services provided prior to such termination. Notwithstanding the foregoing, the Parties agree that any preliminary budget presented to their governing bodies for consideration shall include sufficient funds and appropriations to carry out the terms, duties and obligations contained herein for the subsequent fiscal year.

All economic incentives offered by the Town under Section 3 hereof shall be expressly subject to the annual appropriation of sufficient funds by the Town to make such incentive payments, and shall be in full compliance with Article X, Section 20 of the Colorado Constitution. Further, if any court of competent jurisdiction determines that this Agreement violates the multi-year contract restriction in Section 20, Article X of the Colorado Constitution, then the Parties agree that the Agreement shall automatically convert to a one-year contract, with automatic renewal provisions, subject only to failure by the Town to appropriate funds annually.

As provided under Virginia law, the obligations of the Government Parties to pay the cost of performing its obligations under this Agreement are subject to and dependent upon annual appropriations being made from time to time by the governing body of such Government Party, for such purpose.
