Subcontractor Responsibilities. The Parties agree that SUBCONTRACTOR is a separate entity from CONTRACTOR and as such, SUBCONTRACTOR is responsible for the payment of its employees and Subcontractors that it may employ on the project. SUBCONTRACTOR shall be responsible for the payment of all Federal, State, local taxes and payroll taxes.

Subcontractor Responsibilities. (a) Subcontractor shall act in performance of this Agreement as an independent contractor and not as an agent for ORAU or the Government in performing this Agreement, maintaining complete control over its employees and all lower-tier subcontractors. Nothing contained in this Agreement or any lower-tier subcontract shall create any contractual relationship between any such lower-tier subcontractor and the Government or ORAU. Subcontractor is solely responsible for the actions of itself and its lower-tier subcontractors, agents or employees. (b) Subcontractor shall be solely responsible for all liability and related expenses resulting from injury, death or damage to property which is in any way connected with the negligent performance of work under the Agreement. Subcontractor shall also be responsible for all materials and work until acceptance by ORAU. Subcontractor's responsibility shall apply to activities of Subcontractor, its agents, lower-tier subcontractors, or employees and such responsibility includes the obligation to indemnify, defend, and hold harmless the Government and ORAU. However, such liability and indemnity does not apply to injury, death, or damage to property to the extent it arises from the conduct of ORAU. (c) If Subcontractor is a State agency such as an Educational Institution, all liabilities and remedies shall be determined in accordance with the laws applicable to this Agreement.

Subcontractor Responsibilities. In consideration for Contractor’s agreement to engage Subcontractor and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Subcontractor agrees that the requirements in this agreement apply to ALL work performed by Subcontractor for Contractor regardless of when or where the work is performed and regardless of the specific project on which the work is performed. In addition, Subcontractor also agrees that the terms of any other agreement(s) between the parties do not extinguish or supersede the requirements of this agreement. Costs, expenses, losses or damages include, but are not limited to loss of future profits or fees and attorney's fees. Subcontractor agrees to make no communication (written, oral, or telephone) to a Congressional or Executive Branch member officer, or employee on KEMRON's behalf without the prior written consent of KEMRON. Subcontractor Responsibilities. The Subcontractor will furnish to the Prime all properly coordinated proposal materials, information and data pertinent to the work assigned to the Subcontractor, including but not limited to, manuscripts, art work, and cost and/or pricing data, as appropriate. Upon request of the Prime, the Subcontractor shall provide directly to the Government, as part of such proper coordination, completed Government cost and pricing forms and certifications with detailed supporting schedules, and any other relevant documents, in order to permit the Government’s evaluation of this data. The Subcontractor’s cost format and work breakdown structure shall be as specified by the Prime.

Subcontractor Responsibilities. The Subcontractor will furnish all of the labor, materials, equipment, and services, including, but not limited to, competent supervision, shop drawings, samples, tools, and scaffolding as are necessary for the proper performance of the Subcontract Work in accordance with and reasonably inferable from the Subcontract Documents. By appropriate enforceable agreement, Subcontractor shall require each of its subcontractors to be bound by the terms of the Subcontract Documents, and to assume all the obligations and responsibilities that Subcontractor assumes towards Honeywell under the Subcontract Documents.

Not be disqualified from bidding on any public works contract under RCW 39.06.010 or 39.12.065(3).
