Strategic Partnership Agreement. The Strategic Partnership Agreement has been duly authorized, executed and delivered by the Company and the Sponsor, and is a valid and binding agreement of the Company and the Sponsor, enforceable against the Company and the Sponsor in accordance with its terms except as the enforceability thereof may be limited by bankruptcy, insolvency, or similar laws affecting creditors’ rights generally from time to time in effect and by equitable principles of general applicability.

Strategic Partnership Agreement. The EU and Japan will strengthen their already very close relationship through the new Strategic Partnership Agreement, signed at the EU-Japan Summit on 17 July 2018 in Tokyo. Negotiations of the Strategic Partnership Agreement started in 2013 and were concluded on 25 April 2018. This agreement, together with the new Economic Partnership Agreement will take the EU’s long-standing Partnership with Japan to a new strategic level, triggering considerable benefits to citizens on both sides. Before entering into force, a large part of the Strategic Partnership Agreement will already be provisionally applied. As the first-ever bilateral framework agreement between the EU and Japan, the Strategic Partnership Agreement greatly strengthens the overall partnership by PROMOTING POLITICAL AND SECTORAL COOPERATION AND JOINT ACTIONS on issues of common interest, including on regional and global challenges. Some of these challenges are in the areas of: CYBERCRIME DISASTER MANAGEMENT ENERGY SECURITY CLIMATE CHANGE AGEING POPULATIONS While the Strategic Partnership Agreement will cover all of the areas of our existing bilateral cooperation, it will also open up the possibility for cooperation in new areas. The Agreement’s primary role will be to serve as the charter defining and undergirding our overall relationship. It will be the framework to enhance bilateral cooperation and cooperation in international and regional organisations and fora. It will help the EU and Japan to jointly promote peace, stability and prosperity globally, as well as an open international system. At a time where the rules-based international order is under increasing pressure, the Agreement affirms the shared values and common principles that form the base of the EU-Japan partnership, including human rights, democracy, and the rule of law. Both parties reaffirm their respect for the Universal Declaration of Human Rights and all the relevant international human rights treaties to which they are parties. The Strategic Partnership Agreement restates the Partiescommitment to safeguard international peace and security by: PREVENTING THE PROLIFERATION OF WEAPONS OF MASS DESTRUCTION TAKING MEASURES TO DEAL WITH THE ILLICIT TRADE IN SMALL ARMS AND LIGHT WEAPONS Both the EU and Japan will promote the Treaty on the Non-Proliferation of Nuclear Weapons and shall continue to contribute actively to global efforts with a view to seeking a safer world for all without nuclear weapons.

The SPA is legally linked to the EPA, and together they form parts of one negotiating context. The SPA was negotiated on the Union side by the European Commission and the High Representative of the Union for Foreign Affairs and Security Policy on the basis of a decision adopted by the Council. The Working Party on Asia and the Pacific (COASI) was appointed as the consultative committee and the European Parliament was kept regularly informed throughout the negotiations. The SPA will only enter into force once it has been approved and ratified by all governments of the 28 Member States and Japan (Art. 47 (1)). However, in view of the importance of implementing the SPA as soon as possible after signature, parts of the agreement are to be applied “pending its entry into force”, which has the same effect as if the agreement were in force between the parties (Art. 47(2) and (3))17 on the day of commencement18.
