Storage of Products. Bulk Product will be stored under appropriate storage conditions and in a secure area to ensure that they comply with the Bulk Product Specifications, including all the label requirements, quality specifications and attributes as well as Legal Requirements.

Storage of Products. Agent shall supervise and mange warehousing and storage of the Products and ensure that all inventories are stored at proper temperatures and environmental conditions to maintain the quality of the Products upon importation to the Territory and delivery to the Retailers and Authorized Distributors. In the event of damage to any of the Products for any reason rendering the contents unfit for use or consumption or otherwise unsaleable, Agent shall promptly notify Principal of the facts and shall not distribute or transfer such Products to any other person or otherwise dispose of such Products except as instructed in writing by Principal.

Notwithstanding, any increase in costs incurred by DKSH resulting from any change in storage conditions to comply with revised quality control standards issued by relevant governmental authorities or international codes shall be for the account of DKSH; where any Products delivered to DKSH’s Premises are contained or enclosed in any packing, not be required to break open, unpack or unwrap such packing when the same is delivered to the Premises and may proceed to store such packing at the Premises in the same condition it is received without being obliged to take any steps whatsoever to verify whether the contents of such packing correspond with any information or specification’s stated on the packing or ascertain the condition of the contents thereof; without prejudice to the generality of the foregoing Sub-Article, where any packing delivered to DKSH’s Premises purports to contain more than one unit of the Products, DKSH shall not, prior to storing such packing at such warehouse(s), be obliged to verify whether the number of Products stated to be contained in the packing tallies with the number actually therein; keep up-to-date inventory of the Products delivered to DKSH. Any losses of or damages to PRODUCTS in AGENT's custody or control shall be reported to BAYER in writing with documentation satisfactory to BAYER explaining such loss or damage. BAYER shall be responsible for any PRODUCT losses or damages that are not the result of the negligence or fault of AGENT or its employees. BAYER requires that AGENT provide evidence of warehouse insurance coverage for BAYER property in the possession of AGENT, in the event of AGENT'S negligence in the loss of BAYER product. The limits of such insurance coverage should be adequate to reimburse BAYER for the loss of the sales value of BAYER PRODUCTS stored on the AGENT'S premises.
