Stock Purchase Opportunity. The Executive agrees to subscribe for a number of shares equal to the after-tax proceeds the Executive receives with respect to the $1.2 million retention bonus relating to the Company’s spin-out from VNU International B.V. (the “Retention Bonus”) (or such greater amount as mutually agreed between Parent and the Executive), divided by $1,000 per share, within 30 days following the Executive’s receipt of payment of the Retention Bonus. Such purchase will be subject to the Executive’s execution of a subscription agreement in a form provided by the Company whereby, among other things, the Executive will agree to become bound by the stockholders’ agreement referenced in the Term Sheet between the Executive and Expo Event Transco, Inc., dated as of May 3, 2013.

Stock Purchase Opportunity. Executive shall be afforded the opportunity to purchase shares of Class A non-voting common stock, $1.00 par value per share, of the Company during the sixty (60) day period immediately following the Effective Date, with a total purchase price of not more than Five Hundred Thousand Dollars ($500,000.00). The purchase price per share of such stock shall be based on a valuation performed by a third party selected by the Company in good faith. Executive agrees that as a condition to purchasing any stock of the Company, Executive shall become a party to the Company’s Stockholders Agreement and execute and deliver such subscription documents as may be reasonably requested by the Company. Executive agrees that the Company shall have the right to repurchase any shares purchased by Executive under this Section 4(f) upon Executive’s termination of employment. Provided Executive has complied with and satisfied all of Executive’s obligations in Section 7, then the purchase price to be paid by Company shall be the then-agreed value of the shares, such agreed value to be determined by Company in a manner consistent with the Company’s determination of the price paid by Executive (the “Termination Date Agreed Value”). If Executive fails to comply with and satisfy all of Executive’s obligations in Section 7, then the purchase price paid by Company shall be the price paid by Executive. Unless Executive has previously executed and delivered an Agreement and Release under this Agreement, as a condition to the receipt of payments upon repurchase Executive shall execute an Agreement and Release substantially in the form attached as Exhibit A to this Agreement. Payment of the repurchase price shall be made in two (2) installments. The first installment shall be made upon the exercise of the repurchase right by the Company and shall equal the price paid by Executive. The second installment, if any, shall be paid upon the expiration of the Restrictive Covenant (as defined in Section 7) and shall equal the difference between the Termination Date Agreed Value and the amount paid in the first installment.
Stock Purchase Opportunity. The Executive agrees to purchase approximately 7,500 shares of Holdings (or such greater amount as mutually agreed between Holdings and the Executive) at $100 per share, with the closing of any such purchase to occur no later than October 15, 2014 (the “Stock Purchase”). The Stock Purchase will be subject to the Executive’s execution of a subscription agreement in a form provided by the Company whereby, among other things, the Executive will agree to become bound by the Stockholders’ Agreement by and among Holdings, the AEA Investors, the Management Investors and Additional Investors (each as defined therein) dated as of April 1, 2014.

  • Representatives Purchase Option The Company hereby agrees to issue and sell to the Representative (and/or its designees) on the Closing Date, for an aggregate purchase price of $100.00, an option (“Representative’s Purchase Option”) to purchase up to an aggregate of 200,000 Units (the “Representative’s Units”). The Representative’s Purchase Option shall be exercisable whether for cash or on a cashless basis, in whole or in part, commencing on the later of the consummation of a Business Combination or one year from the Effective Date and expiring on the five-year anniversary of the Effective Date at an initial exercise price per Representative’s Unit of $11.00, which is equal to one hundred and ten percent (110%) of the initial public offering price per Unit. On the Closing Date, the Company shall deliver to the Representative, upon payment therefor, certificates for the Representative’s Purchase Option in the name or names and in such denominations as the Representative may request. The Representative’s Purchase Option, the Representative’s Units, the shares of Common Stock included in the Representative’s Units, the Rights included in the Representative’s Units (the “Representative’s Rights”), the Warrants included in the Representative’s Units (the “Representative’s Warrants”) and the shares of Common Stock issuable pursuant to the terms of the Representative’s Rights and Representative’s Warrants are hereinafter referred to collectively as the “Representative’s Securities.” Delivery and payment for the Representative’s Purchase Option shall be made on the Closing Date.

  • Company Call Right (a) In connection with any Involuntary Transfer by any Non-Pubco Member, the Company or the Managing Member may, in the Managing Member’s sole discretion, elect to purchase from such Member and/or such Transferee(s) in such Involuntary Transfer (each, a “Call Member”) any or all of Units so Transferred (“Call Units”), at any time by delivery of a written notice (a “Call Notice”) to such Call Member. The Call Notice shall set forth the Unit Redemption Price and the proposed closing date of such purchase of such Call Units; provided that such closing date shall occur within ninety (90) days following the date of such Call Notice. At the closing of any such sale, in exchange for the payment by the Company or the Managing Member to such Call Members of the Unit Redemption Price in cash, (i) each Call Member shall deliver its Call Units, duly endorsed, or accompanied by written instruments of transfer in form satisfactory to the Company or the Managing Member, as applicable, duly executed by such Call Member and accompanied by all requisite transfer taxes, if any, (ii) such Call Units shall be free and clear of any Liens and (iii) each Call Member shall so represent and warrant and further represent and warrant that it is the sole beneficial and record owner of such Call Units. Following such closing, any such Call Member shall no longer be entitled to any rights in respect of its Call Units, including any distributions of the Company or Pubco thereupon (other than the payment of the Unit Redemption Price at such closing), and, to the extent any such Call Member does not hold any Units thereafter, shall thereupon cease to be a Member of the Company and, to the extent any such Call Member does not hold any shares of Pubco Common Stock thereafter, shall thereupon cease to be a stockholder of Pubco.

  • Post-IPO Warrants The Post-IPO Warrants, when and if issued, shall have the same terms and be in the same form as the Public Warrants except as may be agreed upon by the Company.

  • Consideration Shares All Consideration Shares will, when issued in accordance with the terms of the Arrangement, be duly authorized, validly issued, fully paid and non-assessable Purchaser Shares.

Within three (3) business days following Purchaser’s exercise of the Option, ONE THOUSAND AND NO/DOLLARS ($1,000.00) shall be paid by Purchaser to Title Company as xxxxxxx money (the “Xxxxxxx Money”). The Xxxxxxx Money shall be held in a segregated interest bearing account by Title Company. All interest and earnings shall be paid to Purchaser. The Xxxxxxx Money shall be credited against the Purchase Price at Closing. Title Company shall act as escrow agent until Closing and shall hold and disburse the Xxxxxxx Money as provided in this Agreement. Seller shall have no right to receive any payment of the Xxxxxxx Money unless Seller terminates this Agreement in accordance with Section 16(a) below as a result of an uncured default of this Agreement by Purchaser, or the Xxxxxxx Money is credited against the Purchaser Price due at Closing. Seller and Purchaser agree to cause to be executed, acknowledged and delivered to Title Company such further reasonable and necessary escrow instruments and documents requested by the Title Company in connection with Title Company holding and disbursing the Xxxxxxx Money and Title Company conducting the Closing, in order to carry out the intent and purpose of this Agreement.

  • Warrant Holder Not a Shareholder The holding of a Warrant will not constitute the Holder thereof a shareholder of the Company, nor entitle him to any right or interest in respect thereof except as in the Warrant expressly provided.
