Stock Awards and Options. If the Executive's employment should terminate under the circumstances described in Section 3(a) hereof, the Executive's rights, if any, with respect to any outstanding Stock Awards and/or Options shall be governed by the plans and any related agreements pursuant to which such Stock Awards and/or Options were granted. If the Executive's employment should terminate under such circumstances as entitle the Executive to receive payments pursuant to Section 3(b) hereof, then, with respect to each outstanding Option or Stock Award which did not immediately vest and/or become exercisable upon the occurrence of a Change-in-Control, such Stock Award or Option shall remain outstanding in accordance with its terms provided that in any event it shall automatically vest upon termination of employment and/or become and remain exercisable at any time after termination of employment until the stated expiration date contained in the grant for such Stock Award or Option, provided that the expiration date of any such Option or Stock Award may not exceed ten years from the date of grant.

Stock Awards and Options. Executive shall be eligible to participate in any stock incentive plan adopted by the Company (the “Plan”). The grant of any award to Executive under the Plan (e.g., restricted stock or stock options) will be determined by the Board of Directors or its designee in its sole discretion, and any award will be subject to the terms and conditions set forth in the Plan and in any award agreement. Any grant awarded to purchase shares of Common Stock of the Company shall (i) be subject to the terms of the stock incentive plan adopted by the Company and in any award agreement between the Company and Executive, (ii) vest in four (4) equal amounts on each of the date of grant, first, second and third anniversaries of the Effective Date, (iii) be subject to other terms as may be determined by the Board of Directors in its discretion, and (iv) be for an exercise price equal to the fair market value of such shares at the time of grant.

Stock Awards and Options. On December 27, 2002, the Company has adopted a Stock Plan (the "Plan"). Pursuant to the Plan, Employee shall be entitled to received stock awards and/or stock options at such times and in such amounts as may be determined by the Board of Directors in its sole discretion.

Stock Awards and Options. (a) On August 27, 2007 Executive shall receive a stock option award of 150,000 shares of Company Class A common stock pursuant to the Westell Technologies, Inc. 2004 Stock Incentive Plan (the “2004 Stock Incentive Plan”), one-fifth (30,000 shares) of which will vest on each August 27 from August 27, 2008 through August 27, 2012, so long as he remains an employee of the Company on the vesting date. The stock award shall also provide, among other things, that all unvested portions of the stock award shall fully vest upon (i) a Change of Control, or (ii) the termination of Executive’s employment with the Company by reason of (A) the termination of such employment by the Company without Cause, or (B) the termination of such employment by Executive for Good Reason.
Stock Awards and Options. Upon approval of MicroVision's Board of Directors or its designee, provided Employee meets all of his obligations hereunder, as of the Separation Date, 15,185 unvested restricted stock units awarded to Employee by grants A0002983 (1,435 shares) and A0003014 (13,750 shares) shall immediately vest. In addition, effective as of the Separation Date, employee hereby forfeits all of his rights to the stock options listed on Exhibit A. Stock Awards and Options. Executive shall be eligible to participate in the 2013 stock incentive plan adopted by the Company (the “Plan”). Effective as of the Closing Date, Executive shall receive awards under the Plan which, when fully vested, would entitle Executive to a number of shares of the Company’s common stock equal to 7% of the Company’s issued and outstanding common stock as of the Closing Date, all subject to the terms and conditions set forth in the Plan and in any award agreements associated with such awards, which agreements shall be mutually agreeable (the “Award Agreements”). Such awards shall consist of: (i) incentive stock options (“ISOs”) to the maximum extent permissible under Section 422(d) of the Internal Revenue Code over the vesting period, and (ii) the balance of such equity awards shall be in the form of restricted stock awards (“RSAs”), such that the ISOs and RSAs shall total 7.0% of the issued and outstanding shares of the Company immediately after Closing. The ISOs and RSAs shall vest in accordance with the Award Agreements, with (x) vesting of 50% of the awards being time-based (such vesting commencing on the date of grant and ending on the fourth anniversary of the Closing Date in five (5) equal amounts on each of the date of grant and the first, second, third and fourth anniversaries of the Closing Date), and (y) 50% of the awards being performance-based over such 4-year period subject to the achievement of certain milestones as set forth in the Award Agreements. If the Company does not issue the Award Agreements within fifteen (15) days of the Closing Date, then the ISOs and RSAs shall be fully vested at time of grant.

  • Stock Awards “Stock Awards” means all stock options, restricted stock and such other awards granted pursuant to the Company’s stock option and equity incentive award plans or agreements and any shares of stock issued upon exercise thereof.

  • Share Options With respect to the share options (the “Share Options”) granted pursuant to the share-based compensation plans of the Company and its subsidiaries (the “Company Share Plans”), (i) each Share Option intended to qualify as an “incentive stock option” under Section 422 of the U.S. Internal Revenue Code of 1986, as amended (the “Code”), so qualifies, (ii) each grant of a Share Option was duly authorized no later than the date on which the grant of such Share Option was by its terms to be effective (the “Grant Date”) by all necessary corporate action, including, as applicable, approval by the board of directors of the Company (or a duly constituted and authorized committee thereof) and any required shareholder approval by the necessary number of votes or written consents, and the award agreement governing such grant (if any) was duly executed and delivered by each party thereto, (iii) each such grant was made in accordance with the terms of the Company Share Plans, the Exchange Act, and all other applicable laws and regulatory rules or requirements, including the rules of the New York Stock Exchange (the “Exchange”), and (iv) each such grant was properly accounted for in accordance with IFRS in the financial statements (including the related notes) of the Company. The Company has not knowingly granted, and there is no and has been no policy or practice of the Company of granting, Share Options prior to, or otherwise coordinating the grant of Share Options with, the release or other public announcement of material information regarding the Company or its subsidiaries or their results of operations or prospects.

  • Option Awards The Company represents and warrants to the Executive that all shares issued pursuant to any equity award granted to the Executive by the Company, upon issuance to the Executive, will be duly authorized, fully paid and non-assessable. A sufficient number of shares for each such equity award will be properly reserved.
