Status of Activities. The parties shall keep one another --------------------- informed of the status of their respective activities regarding any litigation or settlement thereof concerning R2 Product within the Territory, provided however that no settlement or consent judgment or other voluntary final disposition of any suit defended or action brought by a party pursuant to this Article 11 may be entered into without the consent of the other party if such settlement would require the other party to be subject to an injunction or to make a monetary payment or would otherwise adversely affect the other party's rights under this Agreement.

Status of Activities. During the Reporting Period Task 1: Cooperative Agreement Oversight Procure Qualified Environmental Professional: With funding from the American Recovery and Reinvestment Act (ARRA) of 2009, the U.S. Environmental Protection Agency (EPA) awarded GPCOG two separate grants: one for the investigation of sites contaminated by petroleum and one for the investigation of sites contaminated by hazardous substances. After consulting with regulatory and municipal staff, GPCOG decided to develop one Request for Proposals (RFP) to procure a qualified environmental consultant for both of its assessment grants. On August 10, 2009, GPCOG issued the RFP. Responses were due on September 11, 2009. A notice was published in the Portland Press Herald, the State’s largest daily newspaper. The RFP was posted on GPCOG’s website and e-mailed to consultants who requested to be placed on the bidders list. A total of six consultants submitted proposals. All were rated and ranked by a review team consisting of the following individuals:  Xxxx Xxxxx, GPCOG’s Executive Director  Xxxx Xxxxx, GPCOG’s Purchasing Manager  Xxxxxxxx Xxxxx, GPCOG’s Brownfields Manager  Xxxx Xxxxxxxx, Hydrogeologist with the Maine Department of Environmental Protection  Xxxxx Xxxxx-Xxxxxx, Environmental Scientist with the U.S. Environmental Protection Agency The top four firms were interviewed by the review team on September 29, 2009. Two firms were selected as finalists. After interviewing three references for each finalist, staff selected Credere Associates, LLC of Portland, Maine as their partner for the GPCOG Brownfields Assessment Program. The Brownfields program was managed by Xxxxxxxx Xxxxx, GPCOG’s Community and Business Development Specialist, and Xxx Xxxxxx, Vice-President of Credere Associates. GPCOG maintained quality assurance throughout the performance period through weekly phone calls and monthly meetings with Xxxxxxx. Status of Activities. This section will provide a description of each of the major activities in the Grantee’s project. Based on the description of the activities Grantee committed to perform in its Grant Agreement, Grantee will provide status reports describing progress on milestones and deliverables completed. • Column 1 of the status table is entitled Activity Category. This column will be completed with the relevant activity category (i.e., relationship to regional transit, further planning to support regional mobility hub implementation strategy, Smart Growth policy implementation, smart growth equity, partnerships (if applicable), and sustainability). • Column 2 will include a brief description of the milestone or deliverable completed. • Columns 3 and 4 will report the amount of money allocated to each activity and how much has been expended per activity as of the end of the quarter. • Column 5 will describe the overall timing of the project with beginning and anticipated completion dates. • Column 6 will include a general status (i.e., not yet started, in progress, complete) and anticipated upcoming milestones. • Column 7 will qualitatively and quantitatively, where possible, describe the impact on housing as a result of the activity. Status of Activities. AdStar shall keep Tribune informed of the status of its activities regarding any litigation or settlement the relating to its enforcement of its Intellectual Property Rights in the CareerBuilder Service; provided, however, that no settlement, consent judgment or other voluntary final disposition of any suit defended, or action brought by, AdStar pursuant to Section 11.1 may be entered into without the consent of Tribune, if such settlement, payment judgment or other voluntary final disposition would subject Tribune to an injunction, require that Tribune make a monetary payment, or otherwise materially adversely affect Tribune's rights under this Agreement.
Status of Activities. The parties agree that Seller (or its tenant) may continue its operations and the winding up of same through (“Possession Date”), ten (10) days after the Closing. Seller hereby acknowledges, warrants and represents (a) that any and all business (if any) currently being operated on the Property by the Seller and/or others shall cease operation prior to the Possession Date, (b) Seller shall vacate the Property before the Possession Date, (c) all Personal Property will be removed prior to the Possession Date, and any Personal Property not removed prior to the Possession Date shall become the Personal Property of RDC, and (d) Seller shall cooperate with RDC in the transferring of any utilities and/or the disconnection of utilities (if any) as requested by RDC. From the date of Closing to the Possession Date, Xxxxxx’s possession of the Property is solely at Seller’s risk, Xxxxxx agrees to indemnify, defend, and protect the RDC against any claims and liabilities that relate indirectly or directly to such possession, and agrees to name the RDC as an additional insured for purposes of insurance coverage, provided seller’s insurer will provide such insurance coverage without additional premium.

Status of Activities. Except as otherwise provided in this Agreement, Seller hereby acknowledges, warranties and represents (a) that any and all business (if any) currently being operated on the Property by the Seller and/or others shall cease operation prior to Closing, (b) Seller shall vacate the Property before Closing, (c) all Personal Property will be removed prior to the Closing, and any Personal Property not removed prior to Closing shall become the Personal Property of RDC, and (d) Seller shall cooperate with RDC in the transferring of any utilities and/or the disconnection of utilities (if any) as requested by RDC. Notwithstanding any provision herein to the contrary, the RDC agrees to permit Seller to remain in possession of the Property for up to one (1) year from the date of this Agreement the Closing in order to give Seller sufficient time to relocate its business operations, remove salvageable material and equipment, and clean the site of junk and debris. During any such post-Closing possession, Seller will maintain insurance against risks and losses in a manner agreeable to the RDC, and will hold harmless, defend, and indemnify the RDC and FDC from any claims or liabilities either may suffer as a result of Sellers’ post-Closing possession, including the assessment of real property taxes, utilities, assessments, and the like related to such period of possession.
