Common use of Status and Authority Clause in Contracts

Seller has full corporate power and its charter documents authority to enter into and perform its obligations under this Agreement and the OTA Transaction Documents to which it is a party and to consummate do all acts and things and execute and deliver all other documents as are required hereunder or thereunder to be done, observed or performed by it in accordance with the transactions contemplated hereby and therebyterms hereof or thereof.
