Common use of Status and Authority of Seller Clause in Contracts

Status and Authority of Seller. Seller is a corporation duly organized, validly existing and in corporate good standing under the laws of the State of Delaware, and has all requisite power and authority under the laws of the State of Delaware and its respective charter documents to enter into and perform its obligations under this Agreement and to consummate the transactions contemplated hereby. Seller has duly qualified to transact business in the jurisdiction where the Property is located.

Status and Authority of Seller. Seller is is, or will be at or before the Closing, a corporation limited liability company, or other Entity, duly organized, validly existing existing, and in corporate good standing under the laws of the State of Delaware, and has all requisite power and authority under the laws of the State of Delaware such state and its respective charter documents to enter into and perform its obligations under this Agreement and to consummate the transactions contemplated hereby. Seller has is duly qualified to transact business and is in good standing in the jurisdiction where the state in which its Property is located.

Status and Authority of Seller. Seller is a corporation duly organized, validly existing and in corporate good standing under the laws of the State of Delaware, and subject to the issuance of the approval referenced in Section 2.4 above, has all requisite corporate power and authority under the laws of the State of Delaware and its respective charter documents to enter into and perform its obligations under this Agreement and to consummate the transactions contemplated hereby. Seller has is duly qualified to transact business in the jurisdiction where state in which the Property is located.
