STATEMENT OF WORKS. This Schedule is incorporated into the Agreement. Capitalized terms used but not defined in this Schedule will have the meanings given to them in the Agreement. If a term in this Schedule conflicts with a term in the Agreement, the provisions of this Schedule will prevail to the extent of such conflict. References in this Schedule to Sections and Exhibits will refer to the Sections and Exhibits of this Schedule unless otherwise noted.

STATEMENT OF WORKS. If purchased by Customer, Viewpoint or its authorized service providers will provide Professional Services to Customer described in a statement of work (“SOW”) on a mutually agreeable schedule. The Professional Services may include configuration, implementation, training, or other consultation related to the Software that Customer has received from Viewpoint under an Order. Any changes in scope will be made in writing and must be approved by authorized representatives of Customer and Viewpoint.
STATEMENT OF WORKS. A Statement of Work is a Project description that refers to this standard, describes work to be done pursuant to this standard, and identifies the Work Product to be produced and delivered there under. Each Statement of Work shall also preferably identify the services, equipment, facilities, and any other resources to be provided by each party in order for the tasks specified in such Statement of Work to be performed.
STATEMENT OF WORKS. Any Professional Services agreed between the Parties shall be set forth in a SOW and charged in accordance with the applicable SOW. Each SOW is hereby incorporated into this Agreement by reference. To the extent of any conflict between the terms of this Agreement and any terms set forth in a SOW, this Agreement shall prevail, unless and to the extent expressly stated otherwise in the applicable SOW.

STATEMENT OF WORKS. If either party wishes to request a change to a Statement of Work at any time, it shall provide the other with written details of the change and such further information as the other party shall reasonably require. No changes to a Statement of Work shall be valid unless a new Statement of Work is executed to that effect (or the changes are made in writing and signed by the authorised representatives of both parties).
STATEMENT OF WORKS. Any dispute arising under a Statement of Work should first be escalated to the current services contact for that Statement of Work. If the dispute remains unresolved for at least fourteen (14) days, it shall be referred to the ‘MSA Contacts’ (as specified in the MSA Details Page) who shall attempt resolution through negotiations. If the dispute remains unresolved for a further fourteen (14) days, either party may refer the dispute to the English courts.

STATEMENT OF WORKS. This Agreement creates a set of agreed-upon terms and conditions under which the parties may enter into separate Statement of Works. All Statement of Works that are entered into under this Agreement will be governed by the terms of this Agreement and are made a part of, and incorporated into this Agreement. In the event of a conflict between a Statement of Work and this Agreement, the terms of this Agreement will control. Each Statement of Work must be signed by both parties and must state that it is made pursuant to this Agreement.
