Statement Inserts. Aurum will insert up to four (4) statement inserts into Customer statements. The statement inserts will be of a size, format and quality that is consistent with that required by automated Statement Rendering equipment and acceptable to Customer and Aurum. The proposed statement inserts will be submitted to Aurum at least ten (10) Business Days in advance of the Statement Cycle Date.

Statement Inserts. In addition to the Initial Marketing Expenses paid by Home Depot, Home Depot shall pay for the development of inserts and/or onserts offering Goods and Services (“Statement Inserts”). Home Depot shall pay for costs associated with Statement Inserts to extent such costs relate solely to the promotion of Home Depot Goods and Services; GreenSky shall be responsible for all other costs and expenses associated with Statement Inserts. Statement Inserts shall be subject to the reasonable approval of both Home Depot and GreenSky. In particular, GreenSky shall not include any Statement Inserts with information or promotions that Home Depot determines to be objectionable.
Statement Inserts. Any inserts that would be included with a statement sent by U.S. mail may also be sent to you electronically. If an insert contains legally required material, to ensure that you receive the necessary material, we may send you a paper copy of your statement in addition to making the statement available to you electronically. Any legally required insert that would not be available electronically will be sent to you by U.S. mail.

  • INTRODUCTORY STATEMENT The Board of Directors of each of AFC and LISB (i) has determined that this Agreement and the business combination and related transactions contemplated hereby are in the best interests of AFC and LISB, respectively, and in the best long-term interests of their respective stockholders, (ii) has determined that this Agreement and the transactions contemplated hereby are consistent with, and in furtherance of, its respective business strategies and (iii) has approved, at meetings of each of such Boards of Directors, this Agreement.
