Seller has not changed its name whether by amendment of its Articles of Incorporation, by reorganization or otherwise, and has not changed its state of incorporation within the four months preceding the Closing Date.

Snap-on Credit’s exact legal name is as set forth in the first paragraph of this Agreement and with respect to any other Seller, as so identified to the Purchaser in writing. Since the date that is one year prior to the date of this Agreement, such Seller has not changed its name whether by amendment of its organizational documents, by reorganization or otherwise, and has not changed its state of formation.
