Standards and Licenses. 1. The Contractor represents that it is and will remain qualified and licensed to provide the Purchased Services in accordance with the applicable provisions of Minnesota Rules, Minnesota Statutes, federally-approved Minnesota state waiver plans, and during the term of this Contract.

Standards and Licenses. (a) The Administrator acknowledges that the performance of the Services in an accurate and timely manner is of paramount importance to IXX. Administrator shall provide each of the Services: (i) with the same priority it accords its own operations, (ii) in substantially the same manner and using at least the same standard of care and degree of efficiency and quality that Seller, its Affiliates and their subcontractors used during the twelve (12)-month period immediately prior to the Effective Time in performing such Services or similar services (to the extent such Services were provided by Seller prior to the Effective Time) for the Business and (iii) in compliance with (A) Applicable, Law (B) the Covered Insurance Policies REDACTED IXX understands and agrees that Administrator is not in the business of providing Services to third parties, and under no circumstances shall Administrator be held accountable to a higher standard of care than that set forth herein.

In order to avoid jeopardizing ABC’s reputation and travel supplier arrangements, Agency shall: (a) adhere to all laws and ethical standards applicable to travel agencies and shall operate its business in a manner consistent with general accepted procedures in the industry; (b) have one or more personnel who meet the minimum annual Revenue requirements needed to obtain and maintain a travel agent card issued by IATAN; (c) obtain and maintain all local and state licenses required of businesses in general and (if applicable) travel agencies in particular, such as Seller of Travel registrations; and (d) obtain and maintain liability insurance and errors and omissions insurance, if available in the market.

In the event said license is cancelled, revoked, suspended, or expires during the term of this contract, Contractor agrees to immediately inform the County. The County will pay only for services provided pursuant to such licensing requirements.

The Contractor warrants and represents that he/she is currently licensed/certified by the State of Minnesota (or other regulatory authority) to perform work (Class S-D Wastewater Operator Certificate). In the event said license/certification is cancelled, revoked, suspended, or expires during the term of this contract, Contractor agrees to immediately inform the County. The County will pay only for services provided pursuant to such licensing requirements.

In the event said license is cancelled, revoked, suspended, or expires during the term of the contract, Provider agrees to immediately inform the County (or name the individual, official capacity). The County will pay only for services provided pursuant to such licensing requirements.
