Standard Warranty. Vocera warrants that the wireless communication badges, smartbadges, telephones, batteries and battery chargers sold by Vocera (“Devices”) conform substantially to the specific applicable materials listed under “Documentation” at xxx.xxxxxx.xxx/xxxxx and are free from defects in materials and workmanship for one year from shipment to the original end user who purchases the Devices (“End User”). Vocera further warrants that clips, lanyards and other such accessories sold by Vocera for use with the Devices (“Accessories” and, together with Devices, “Hardware”) are free from defects in materials and workmanship for 3 months from shipment to the End User. This Limited Warranty applies only to the End User. The End User must provide written notice to Vocera that any Hardware is not as warranted no later than 10 business days following expiration of the applicable warranty period, or the right to assert such claim will be deemed waived. As the sole and exclusive remedy, at its option and to the extent permitted by law, Vocera will at no charge either: (1) repair or replace the Hardware with functionally equivalent new, previously opened, or refurbished parts and replacements or (2) refund the net price paid to Vocera for the original Hardware. The repaired or replacement Hardware is warranted for the remaining warranty term of the original Hardware. The obligations hereunder are conditioned upon the End User obtaining a Return Material Authorization (RMA) and returning the defective Hardware in accordance with Section 4 (Return Material Authorization) below. The replacement Hardware becomes the property of the End User and the Hardware replaced becomes the property of Vocera.

Standard Warranty. Seller hereby warrants that the Equipment shall (i) be free from all liens, charges or encumbrances, except any lien of the Seller in respect of any unpaid portion of the Purchase Price; (ii) be free from defects in materials and workmanship and shall conform to the provisions and specifications of this Sales Agreement (including without limitation the Specifications); (iii) be new and, if no quality is specified, of a quality consistent with the Seller's usual and normal production; and (iv) conform with OSHA regulations in force at the time of Acceptance of the Equipment. Seller shall use its reasonable best efforts to as soon as practicable obtain for Seller's own benefit Third-Party Hardware and Third-Party Software warranties that are at least co-extensive with Seller's warranty obligations to Purchaser under clause (ii) of the immediately preceding sentence with respect to the Equipment. Notwithstanding the foregoing, if Seller, after so using its reasonable best efforts, fails to obtain for Seller's own benefit such warranties, then Seller shall immediately notify Purchaser in writing of the nature and extent of such failure, and the parties shall negotiate in good faith as to (a) adjustment of schedules for performance of the Work in order for Seller to secure such warranties, (b) Seller's limited release from its warranty obligations under clause (ii) of the immediately preceding sentence with respect to such Third-Party Hardware or Third-Party Software, and/or (c) a reduction or increase in the Purchaser Price to reflect the changed schedule and/or lessened warranty obligations, as applicable. Any agreement between the parties resulting from such negotiations must be in writing. Seller's failure to notify Purchaser as required above shall constitute Seller's waiver of its renegotiation rights in the preceding sentence, and the provisions of this Article 17 shall remain in full force and effect. Seller shall, at its option, repair or replace (replacement parts to be shipped F.O.B. Worksite) any defective Equipment or component thereof; provided, however, that Seller is given written notice of any defect during the Warranty Period (as defined below). Standard Warranty. MEI warrants that any new Product, including materials and equipment to be furnished as part of the Product, shall be of good quality, in conformance with all legal requirements, and will be free from defects in material and workmanship for twelve (12) months from the date of installation (the “Standard Warranty”). Any refurbished parts, if available, carry a warranty that such parts shall be of good quality and free from defects in materials and workmanship for a period of ninety (90) days from installation. This Standard Warranty shall not apply to: (i) any Product that has been subject to misuse, misapplication, neglect (including without limitation improper maintenance and storage), accident, improper installation, modification (including without limitation use of unauthorized parts of attachments), adjustment or repair; or (ii) damage, loss, or diminution of or to any Product related to normal wear and tear, or usage of wear parts. (iii) damage caused by disasters such as fire, flood, wind, lightning, electrical surge or power outage; (iv) corrosion from exposure to liquids or atmospheres; (v) any parts or components installed or modified by a non-MEI mechanic during the term or extended term of the Agreement with MEI; or (vi) Customer’s failure to properly clean or care for the Product. Notwithstanding any contrary provision or agreement, MEI’s maximum liability for Products, whether in contract, negligence, or strict liability in tort, is limited to the repair or replacement of the Product at issue, or the parts thereof.

Standard Warranty. The Products shall be covered by SUPPLIER’s standard warranty terms and provisions, copies of which are annexed to this Agreement as Exhibit B; provided, however, that the warranty coverage shall be no less than the following: (i) the warranty period set forth therein shall run for at least one (1) year following DISTRIBUTOR’s shipment of any Product to it’s customer; (ii) SUPPLIER shall extend such warranty directly to DISTRIBUTOR’s customer as if such customer had purchased the Product directly from SUPPLIER; (iii) SUPPLIER shall warrant the Product against defects in material and workmanship under normal use and service and shall repair or replace at its cost any defective Product (or issue a credit or refund, as the case may be, based on the purchase price paid therefor; and (iv) SUPPLIER shall pay (or refund the amount of) all freight and shipping charges for any defective Product returned.

Standard Warranty. 12.1.1 In the event that the price includes warranty, NECHK warrants that the Works, will be free from defects in materials, workmanship and installation affecting normal use for a period of one (1) year, or a period mutually agreed between the Parties, from the date of acceptance pursuant to Clause 10 - Acceptance. During this period, if the Works do not meet this Standard Warranty, NECHK shall, as NECHK’s sole liability and obligation and Customer’s sole remedy, be responsible for the repair, replacement or rectification of such Works that have been returned from Customer to NECHK.

If Vocera hereafter posts any new or modified version of this Limited Warranty or the Badge Products RMA policy, such new or modified version will apply to products ordered subsequent to the date of such posting.
Standard Warranty. We offer the Standard Warranty Level for customers outside of Power-One’s normal service area. Typically, customers covered under our Standard Warranty purchase a local inventory of spare parts. The customer is responsible for the swap and shipment to and from Power-One for any units in need of repair. The repair, labor, and material is fully covered during the warranty period. Since the spare parts or inverters are already on site, the urgency to restock the inventory is reduced. Power-One will repair defective units and ship refurbished units back to the customer within 10-business days of receipt at the Power-One repair depot. Assure Warranty We offer the Assure Warranty Level for customers who prefer for Power-One to stock the inventory and provide a fast response in the event they need a spare part. At the Assure Level Power-One commits to shipment of the part within 3-5 days of notification. We can typically ship the part within 2 days, but allow additional days for receipt to account for weekends, holidays and remote locations. Power-One is responsible for the swap using Power-One personnel or one of our authorized partners. In summary, customers receive the needed parts and a complete emergency response team ready to help you at any time with the Assure Program from Power-One.
