Common use of Stamp or Other Transfer Taxes Clause in Contracts

Stamp or Other Transfer Taxes. Upon any sale of Exchangeable Non-Voting Shares to the Parent pursuant to the Insolvency Exchange Right or the Automatic Exchange Rights, the share certificate or certificates representing Parent Common Shares to be delivered in connection with the payment of the total purchase price therefor shall be issued in the name of the Shareholder of the Exchangeable Non-Voting Shares so sold without charge to the Shareholder of the Exchangeable Non-Voting Shares so sold; provided, however that such Shareholder (a) shall pay (and neither the Parent, the Purchaser nor the Trustee shall be required to pay) any documentary, stamp, transfer, withholding or other taxes that may be payable in respect of any transfer involved in the issuance or delivery of such shares to a person other than such Shareholder, or (b) shall have established to the satisfaction of the Trustee, the Parent and the Purchaser that such taxes, if any, have been paid.

Upon any sale of Exchangeable Non-Voting Shares to the Parent Orbital pursuant to the Insolvency Exchange Right or the Automatic Exchange Rights, the share certificate or certificates representing Parent Orbital Common Shares to be delivered in connection with the payment of the total purchase price therefor shall be issued in the name of the Shareholder Holder of the Exchangeable Non-Voting Shares so sold or in such names as such Holder may otherwise direct in writing without charge to the Shareholder holder of the Exchangeable Non-Voting Shares so sold; , provided, however however, that such Shareholder Holder (a) shall pay (and neither the ParentOrbital, the Purchaser Corporation nor the Trustee shall be required to pay) any documentary, stamp, transfer, withholding transfer or other similar taxes that may be payable in respect of any transfer involved in the issuance or delivery of such shares to a person other than such Shareholder, Holder or (b) shall have established establish to the satisfaction of the Trustee, the Parent Orbital and the Purchaser Corporation that such taxes, if any, have been paid.

Upon any sale of Exchangeable Non-Voting Shares to the Parent pursuant to the Insolvency exercise of the Exchange Right or the Automatic Exchange RightsRight, the share certificate or certificates representing the Parent Common Shares to be delivered in connection with the payment of the total purchase price therefor shall be issued in the name of the Shareholder Beneficiary in respect of the Exchangeable Non-Voting Shares so sold or in such names as such Beneficiary may otherwise direct in writing without charge to the Shareholder holder of the Exchangeable Non-Voting Shares so sold; provided, however however, that such Shareholder Beneficiary (a) shall pay (and neither none of the Parent, the Purchaser nor Callco, Exchangeco or the Trustee shall be required to pay) any documentary, stamp, transfer, withholding or transfer of other taxes that may be payable in respect of any transfer involved in the issuance or delivery of such shares to a person other than such Shareholder, Beneficiary or (b) shall have established evidenced to the satisfaction of the TrusteeParent, the Parent Callco, Exchangeco and the Purchaser Trustee that such taxes, taxes (if any, ) have been paid.

Upon any sale of Exchangeable Non-Voting NonVoting Shares to the Parent pursuant to the Insolvency Exchange Right or the Automatic Exchange Rights, the share certificate or certificates representing Parent Common Shares to be delivered in connection with the payment of the total purchase price therefor shall be issued in the name of the Shareholder of the Exchangeable Non-Voting Shares so sold without charge to the Shareholder of the Exchangeable Non-Voting Shares so sold; provided, however that such Shareholder (a) shall pay (and neither the Parent, the Purchaser Mergeco nor the Trustee shall be required to pay) any documentary, stamp, transfer, withholding or other taxes that may be payable in respect of any transfer involved in the issuance or delivery of such shares to a person other than such Shareholder, or (b) shall have established to the satisfaction of the Trustee, the Parent and the Purchaser Mergeco that such taxes, if any, have been paid.
