Common use of Stamp and other duties Clause in Contracts

Stamp and other duties. The Primary Borrower shall pay all proper stamp, documentary, registration, notarisation or other duties or Taxes (including any duties or Taxes payable by, or assessed on, the Finance Parties) imposed on or in connection with the negotiation, preparation, implementation and execution of any of the Finance Documents and shall indemnify the Finance Parties against any liability arising by reason of any delay or omission by the Primary Borrower to pay such duties or Taxes.

Stamp and other duties. The Primary Borrower shall pay all proper stamp, documentary, registration, notarisation or other duties or Taxes (including any duties or Taxes payable by, or assessed on, the Finance Parties) imposed on or in connection with the negotiation, preparation, implementation and execution of any of the Finance Documents and the syndication of the Facilities and shall indemnify the Finance Parties against any liability arising by reason of any delay or omission by the Primary Borrower to pay such duties or Taxes.

The Primary Borrower shall pay all proper stamp, documentary, registration, notarisation registration or other similar duties or Taxes (including any duties or Taxes payable by, or assessed on, the Finance PartiesBanks or the Facility Agent) imposed on or in connection with this Agreement or the negotiation, preparation, implementation and execution of any of the Finance Documents Principal Agreement and shall indemnify the Finance Parties Facility Agent and the Banks against any liability arising by reason of any delay or omission by the Primary Borrower to pay such duties or Taxes.
