Sponsor Information. Contractor shall comply with all federal, state, and local laws that are expressly applicable to the privacy, and security of Sponsor Information, including but not limited to the requirements of the Family Educational Rights and Privacy Act (FERPA), 20 U.S.C. § 1232g, and its implementing regulations (34 C.F.R. part 99), the Children’s Online Privacy Protection Act (COPPA), 15 U.S.C. § 6501-6505, and its implementing regulations (16 C.F.R. § 312, et seq.), the Protection of Pupil Rights Amendment, (PPRA) 20 U.S.C, § 1232(h) and its implementing regulations (34 C.F.R. § 98.1 et seq.), Pub. L. 104-191, and its implementing regulations (45 CFR part 160 and 164), and the Individuals with Disabilities Education Act, and its implementing regulations (34 C.F.R. §§ 300.610 - 300.626 and 34 C.F.R. §§ 303.400 – 303.417). Neither Contractor nor any of its employees, agents or affiliates, or subcontractors shall: (i) engage in targeted marketed advertising using Sponsor Information; (ii) use Sponsor Information to amass a profile about a Sponsor End User, except in connection with Contractor’s performance of its obligations under this Agreement; (iii) or publish any report, data, or research findings that are based on Sponsor Information or that otherwise expressly identifies the Sponsor, without prior review and approval from the Sponsor, unless otherwise required by law.

  • Investor Information Within five (5) days after receipt of a request from the Company, Investor hereby agrees to provide such information with respect to Investor’s status as a Company shareholder and to execute and deliver such documents as may reasonably be necessary to comply with any and all laws and regulations to which the Company is, or may become, subject, including, without limitation, the need to determine the accredited investor status of the Company’s shareholders. Investor further agrees that, in the event Investor transfers any Offered Shares, Investor will require the transferee of any such Offered Shares to agree to provide such information to the Company as a condition of such transfer.
