Common use of Specific Covenants Clause in Contracts

Specific Covenants. Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 6.12, 6.14 or Article VII, or any Guarantor fails to perform or observe any similar material term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Article IV of the Guaranty; or

Specific Covenants. The Borrower or any Subsidiary, as applicable, fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.056.03(a), 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in default exists under the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.056.05 (in the case of any Loan Party), 6.10, 6.11, 6.12 or 6.13 6.14 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. Borrower fails The Borrowers fail to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.026.02 (other than 6.02(c),(d), or (f)), 6.03, 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section Sections 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 (a) or Article VII, or any Guarantor fails to perform or observe any payment term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. Borrower fails to perform or observe any term, covenant or agreement contained in any of Section Sections 6.01, 6.02, 6.03, 6.05, 6.07, 6.08, 6.10, 6.11, 6.12 or 6.13 6.13; or Borrower fails to perform or observe any term, covenant or agreement contained Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Article III of the Guaranty; or

Specific Covenants. Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.07, 6.08, 6.10, 6.11, 6.12 or 6.13 6.13; or Borrower fails to perform or observe any term, covenant or agreement contained Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Article III of the Guaranty; or

Specific Covenants. (i) Any Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 6.15, or Article VII, or (ii) any Guarantor fails to perform or observe any material term, covenant or agreement (after taking into account contained herein or in any applicable grace periods) contained in the Guaranty; or

Specific Covenants. (i) Any Borrower or Guarantor, as applicable, fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 6.12, 6.15 or Article VII, ; or (ii) any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section Sections 6.01, 6.026.02(a), 6.036.03(a), 6.056.05(a), 6.10, 6.11, 6.12 6.10 or 6.13 6.11 or Article VII, or any Guarantor Loan Party fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the GuarantyGuaranty or any Collateral Document to which it is a party; or

Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the its Guaranty; or

The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.026.02 (within five days of the date when due, in the case of Section 6.02(a)), 6.03, 6.056.05(a), 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, VII or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.017.01, 6.027.02, 6.037.03, 6.057.05 (with respect to any Loan Party), 6.107.10, 6.117.11, 6.12 7.12 or 6.13 7.17 or Article VIIVIII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the any Facility Guaranty; or

Specific Covenants. Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01Sections 6.03(a), 6.026.05 (with respect to Borrower), 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 6.11 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.07, 6.10, 6.11, 6.12 6.12, 6.13 or 6.13 6.16 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.017.01, 6.027.02, 6.037.03, 6.057.05, 6.107.07, 6.117.10, 6.12 7.11, 7.12 or 6.13 7.13 or Article VIIARTICLE VIII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 or Article VII, ; or (ii) any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, or 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 6.12, 6.15, 6.17, 6.18, 6.19, 6.20, 6.21, 6.22 or 6.13 6.23 or Article VII, VII or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. (i) Any Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 6.10 or 6.13 6.11 or Article VII, VII or (ii) any Guarantor of the Guarantors fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the any Guaranty; or

Specific Covenants. Any Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 6.13, 6.17 or Article VII, or any Borrower or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Article X hereof or Article IV of the applicable Guaranty, as applicable, to the extent such failure would constitute an Event of Default under this clause (b); or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 6.12, 6.14, 6.17, 6.18 or Article VII, or (ii) any Guarantor of the Guarantors fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the GuarantyGuaranty or (iii) any of the Loan Parties fails to perform or observe any term, covenant or agreement contained in Section 4 of the Security Agreement; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.07, 6.10, 6.11, 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. Borrower fails shall fail to perform or observe any term, covenant or agreement contained in any of Section 6.01Sections 8.1, 6.028.4, 6.038.5, 6.058.6, 6.108.8, 6.118.9, 6.12 8.10, 8.13 or 6.13 or Article VII8.18, or any Guarantor fails shall fail to perform comply with any obligation or observe any term, covenant or agreement (after taking into account any applicable grace periods) of such Guarantor contained in the Guaranty; orGuaranty executed by such Guarantor including, without limitation, any provision of Section 18 thereof.

Specific Covenants. Any Borrower fails to perform or observe any term, covenant or agreement contained in any of Section SECTION 6.01, 6.02, 6.03, 6.056.05(a), 6.10, 6.11, 6.12 or 6.12, 6.13 or Article 6.16 or ARTICLE VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.036.03(a), 6.05, 6.106.08, 6.11, 6.12 6.09 or 6.13 6.10 or Article VII, VII or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the any Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 6.13 or 6.13 6.16 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01Sections 6.01 (a) and (b), 6.02Sections 6.02(a), (b), (f), (h), (i) and (j), 6.03, 6.05, 6.10, 6.11, 6.12 6.12, 6.13, 6.14, 6.15 or 6.13 6.16 or Article VII, other than pursuant to Sections 7.02 and 7.03, or any Subsidiary Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the its Subsidiary Guaranty; or

Specific Covenants. Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.056.05 (as to the preservation of the existence of Borrower and its Significant Subsidiaries), 6.10, 6.11, 6.12 6.12, 7.04, 7.05, 7.06, 7.09, 7.10 or 6.13 or Article VII7.11, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.026.02(a) through (d), 6.036.03(a), 6.056.05 (with respect to the Borrower), 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Article IV of the Guaranty; or;

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section Sections 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 6.15 or Article VII, or any Guarantor fails to perform or observe any payment term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.116.11 or 6.12, 6.12 or 6.13 6.18 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. Any Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 6.12(a), 6.13(a) or 6.13 6.14 or Article VIIVII or, or any after the REIT Conversion Date, the REIT Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in any of Section 11(a), 11(b), 11(d) or 11(i) or Section 12 of the GuarantyGuaranty executed by the REIT Guarantor; or

Specific Covenants. Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 or Article VII, and, with respect to Section 6.01, 6.02, 6.03, such failure continues for one Business Day after notice thereof to Borrower or after Borrower obtains knowledge thereof, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. Borrower fails to perform or observe any term, covenant or agreement contained in any of Section Sections 6.01, 6.02, 6.03, 6.04, 6.05, 6.10, 6.116.12, 6.12 or 6.13 or Article VII6.15, 6.27, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or.

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.116.12, 6.12 6.13, 6.14, 6.15 or 6.13 6.16 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 or Article VII, or any Subsidiary Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Subsidiary Guaranty; or

The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe pay any term, covenant or agreement (after taking into account any applicable grace periods) contained obligation when and as due in the Guaranty; or

Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or F or p er so na l u se o nl agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.036.03(a), 6.05, 6.10, 6.11, 6.12 or 6.13 or Article VII, VII or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section Sections 6.01, 6.02, 6.03, 6.056.05(a), 6.10, 6.11, 6.12 or 6.13 6.20, 6.22, 6.23 or Article VII, or VII or(ii) any Guarantor of the Guarantors fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 6.11 or 6.13 or Article VIIVII of this Agreement or in the Post Closing Agreement, or any Guarantor fails to perform or observe any material term, covenant or agreement (after taking into account any applicable grace periods) contained in the GuarantyGuaranty in any material respect; or

Specific Covenants. (i) the Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 6.12, or Article VII, or (ii) any Guarantor of the Guarantors fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. Any Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 6.13, 6.17 or 6.13 6.19 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Article IV of the Guarantyapplicable Guaranty to the extent such failure would constitute an Event of Default under this clause (b); or

Specific Covenants. A Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.036.03(a), 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, VII or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.036.03(a), 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, VII or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.056.04, 6.05(a), 6.09, 6.10, 6.11, 6.12 6.12, 6.19 or 6.13 6.20 or Article VII, or any Guarantor (ii) the Borrower fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in any of Section 6.02, or 6.15, and such failure continues for 5 days, or (iii) any of the Subsidiary Guarantors fails to perform or observe any term, covenant or agreement contained in Section 7 of the Subsidiary Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.026.02(e), 6.03, 6.05, 6.10, 6.116.11 or 6.13, 6.12 Article VII or 6.13 or Article VIISection 10.21, or any Subsidiary Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Section 2 of the Subsidiary Guaranty; oror Credit Agreement

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.026.02(a) through (d), 6.036.03(a), 6.056.05 (with respect to the Borrower), 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Article IV of the Guaranty; or

Specific Covenants. Borrower fails to perform or observe any term, covenant or agreement contained in any of Section Sections 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 6.12, 6.13, 6.14, 7.01 (other than with respect to involuntary liens), 7.02, 7.03, 7.04, 7.05, 7.06, 7.07, 7.10 or 6.13 or Article VII7.11, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Section 2 of the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.116.13, 6.12 or 6.13 6.15, or Article VII, or any Subsidiary Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Subsidiary Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section Sections 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 6.12, 6.13, 6.15, 6.18, 6.21 or Article VII, or any the Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the GuarantyGuaranty Agreement; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Section 1 of the applicable Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Subsidiary Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.056.04(b), 6.10, 6.11, 6.12 6.10 or 6.13 6.11 or Article ARTICLE VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. (i) Any Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 or Article VII, ; or (ii) any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.056.05 (in the case of any Loan Party), 6.10, 6.11, 6.12 or 6.13 or Article VII, ,or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.036.03(a), 6.05, 6.10, 6.11, 6.12 6.12, 6.15, 6.17 or 6.13 6.18 or Article VII, VII or (ii) any Guarantor of the Guarantors fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the GuarantyGuaranty corresponding to such sections; or

Specific Covenants. Either Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 6.13, 6.18 or 6.13 6.19 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Article IV of the Guarantyapplicable Guaranty to the extent such failure would constitute an Event of Default under this clause (b); or

Specific Covenants. Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.116.12, 6.12 6.15, 6.17, 6.18, 6.19, 6.20, 6.21, 6.22, 6.23 7360130v5 or 6.13 6.24 or Article VII, VII or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 or Article VII, or with any requirement to provide notice contained in Section 6.12 or 6.13 or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. Borrower fails Borrowers fail to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 or Article VII7, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; provided that any such failure (whether by a Borrower or a Guarantor) under Section 6.05(a) has continued for a period of 5 Business Days; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 6.12, 6.14, 6.19, 6.20, 6.21, 6.22 or Article VII, or any Guarantor Loan Party fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the GuarantyGuaranty or any Collateral Document; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 6.12, 6.18,6.20 or 6.13 6.21 or Article VII, or any Guarantor of the Guarantors fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Section 1 of the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section SECTION 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 Article VII or Article VII, or (ii) any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty, or any Loan Party fails to perform or observe any term, covenant or agreement contained in any Pledge Agreement and such failure continues for five Business Days; or

Specific Covenants. The Borrower fails or Guarantor fail to perform or observe any term, covenant or agreement contained in any of Section Sections 6.01, 6.02, 6.03, 6.05, 6.10, 6.116.12(a), 6.12 or 6.13 6.12(b), 6.12(c) or Article VII, VII (other than Section 7.01) or any Guarantor the Borrower fails to perform or observe any term, the covenant or agreement in Section 6.12(d) for two (after taking into account any applicable grace periods2) contained in the Guarantyconsecutive fiscal quarters; or

Specific Covenants. Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Section 16 of the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 or Article VIIVII of this Agreement or in the Post Closing Agreement, or any the Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. Borrower fails The Borrowers fail to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.026.02(a), 6.036.03(a), 6.056.05 (with respect to the Borrowers), 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Subsidiary Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Subsidiary Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12 or 6.13 6.14 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Section 4.1 of the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Article IV of the Guaranty; or;

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section Sections 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.11 or 6.12 or 6.13 (a) and (b) or Article VII, or any Guarantor fails to perform or observe any payment term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01, 6.02, 6.03, 6.05, 6.10, 6.116.12, 6.12 6.13 or 6.13 6.14 or Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in the Guaranty; or

Specific Covenants. Borrower fails to perform or observe any term, covenant or agreement contained in any of Section Sections 6.01, 6.02, 6.03, 6.05, 6.07, 6.08, 6.10, 6.11, 6.12 or 6.13 6.13; or Borrower fails to perform or observe any term, covenant or agreement contained Article VII, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Article III of the Guaranty, or the Non-Recourse Guarantor fails to perform or observe any term, covenant or agreement contained in Article III of the Non-Recourse Guaranty; or

Specific Covenants. Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.01Sections 0, 6.020, 6.030, 6.050, 6.100, 6.110, 6.12 0, 6.13,6.14,7.01 (other than with respect to involuntary liens), 7.02, 7.03, 7.04, 7.05, 7.06, 7.07, 7.10 or 6.13 or Article VII7.11, or any Guarantor fails to perform or observe any term, covenant or agreement (after taking into account any applicable grace periods) contained in Section 2 of the Guaranty; or
