SPECIAL PAYMENT TERMS. For non-credit card orders, ITC will submit IRS orders to the Reseller for items under this BPA. For credit card orders, the Agency will order from the Reseller directly via the Reseller web-site. Enterprise Lot Products will not be ordered via credit card. For credit card orders, Reseller shall collect payment from the Agency via the credit card company, and is responsible for forwarding to ITC the ITC commission for the order on the 15th day of the following month. The Reseller shall mail checks to ITC at the following address. Each check shall provide evidence of the credit card order transaction value and date, and items ordered, with unit prices clearly shown. SPECIAL PAYMENT TERMS. Concurrently with the issuance of this Note to the Holder the Company is delivering to the Holder a conditional security agreement of even date herewith (the “Security Agreement”). Under the terms of the Security Agreement the Company has pledged to the Holder its pro rata share of fifty percent (50%) of the “Net Proceeds” (as defined below) from the sale of the property interests listed on Schedule I to the Security Agreement located in Big Horn County Wyoming, which is incorporated herein by this reference (the “Big Horn Property”). The term “Net Proceeds” means the cash proceeds from the Company’s sale of any of its interest in the Big Horn Property less brokerage fees, commissions, taxes, assessments and any other fees or costs of the transaction paid to third parties including xxxxxxx and attorneys’ fees. A portion of the Net Proceeds determined by the Company, but in no event less than fifty percent (50%) of the Net Proceeds (the “Payment Pool”) shall be applied to payment of the Settlement Notes. The portion of the Payment Pool payable to the Holder as payment on principal and interest of this Note shall be equal to the Payment Pool multiplied by a fraction, the numerator of which is the then outstanding principal and accrued interest on this Note and the denominator of which is the then aggregate outstanding principal and accrued interest on all Settlement Notes, all of which will be calculated as of the date of the closing of the transaction that produced the Net Proceeds. Payment to Holder of its portion of the Payment Pool will be made by the Company not more than five (5) days following the closing of the transaction that produced the Net Proceeds. Any payment made to the Holder under this Section 5 prior to the Maturity Date will be treated as a prepayment under Section 3, above.
