Sourcing Fees. Ashford or any of its Affiliates in connection with the sourcing of an Investment shall be entitled to receive for its own account the Sourcing Fee (as defined in and in accordance with the provisions of the Master Venture Agreement) for such Investment.

COMPANY shall indemnify, defend and hold harmless DISTRIBUTOR, its affiliates and each of their respective officers, agents, directors, shareholders or employees for any claims, loss, liability or expense (including reasonable attorney’s fees and disbursements) arising from a breach of this representation and warranty. DISTRIBUTOR shall pay all Sourcing Fees to COMPANY via initiation of an ACH credit entry each Friday with respect to those Products delivered to the Operators during the preceding week and on which a Sourcing Fee was assessed.
