Common use of Solvency Certificate Clause in Contracts

Solvency Certificate. The Administrative Agent shall have received a solvency certificate in the form of Exhibit O (or in such other form as is satisfactory to the Administrative Agent to reflect applicable legal requirements), dated the Closing Date and signed by a senior Financial Officer of each Loan Party or of the Borrower.

The Administrative Agent shall have received a solvency certificate certificate, in the form of Exhibit O (or in such other form as is and substance satisfactory to the Administrative Agent to reflect applicable legal requirements)Agent, dated the Closing Date and signed by a senior Financial Responsible Officer of each Loan Party or the Company as to the financial condition, solvency and related matters of the BorrowerLoan Parties and their respective Restricted Subsidiaries, after giving effect to the initial borrowings under the Loan Documents and the other transactions contemplated hereby.

Solvency Certificate. The Administrative Agent shall have received a solvency certificate in the form of Exhibit O (or in such other form as is satisfactory to the Administrative Agent to reflect applicable legal requirements), dated the Closing Date and signed by a senior Financial Officer of each Loan Party or of the Canadian Borrower.

Solvency Certificate. The Administrative Agent shall have received a solvency certificate dated as of the Closing Date in substantially the form of Exhibit O (or in such other form as is satisfactory to the Administrative Agent to reflect applicable legal requirements), dated the Closing Date and signed by E from a senior Financial Responsible Officer of each Loan Party or the Company (or, at the option of the Borrower, a third party opinion as to the solvency of the Borrower and its subsidiaries on a consolidated basis issued by a nationally recognized firm).
