Common use of Solvency Certificate Clause in Contracts

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer of the Borrower as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the initial borrowings under this Amendment, in substantially the form of Exhibit 4.1(g) to the Credit Agreement.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer of the Borrower as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the initial borrowings under this Amendmentthe Credit Documents, in substantially the form of Exhibit 4.1(gSchedule 4.1(h) to the Credit Agreementhereto.

The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer a Financial Officer of the Borrower as to the financial condition, solvency and related matters of the Credit Loan Parties and their Subsidiaries, after giving effect to the Transactions and the initial borrowings under this Amendmentthe Loan Documents, in substantially the form of Exhibit 4.1(g) and substance acceptable to the Credit AgreementAdministrative Agent.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared executed by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower Company as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the Transactions and the initial borrowings under this Amendmentthe Credit Documents, in substantially the form of Exhibit 4.1(g4.1(f) to the Credit Agreementhereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s a certificate prepared by of the chief financial officer of the U.S. Borrower in form and substance reasonably satisfactory to it which shall document the solvency of Holdings and its Subsidiaries taken as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiariesa whole, after giving pro forma effect to the initial consummation of the Refinancing (including borrowings under this Amendment, in substantially the form of Exhibit 4.1(gFirst Lien Facilities) to and the Credit Agreementother transactions and related financings contemplated hereby.

The Administrative Agent shall have received an officer’s a certificate prepared by of the chief financial officer of the Borrower as in form and substance reasonably satisfactory to it which shall document the financial condition, solvency and related matters of the Credit Parties Borrower and their Subsidiaries, its Subsidiaries after giving effect to the initial borrowings under this Amendment, in substantially consummation of the form of Exhibit 4.1(g) to Transactions and the Credit Agreementother transactions and related financings contemplated hereby.
