Common use of Solicitation of Employees Clause in Contracts

Solicitation of Employees. During the period in which the provisions of Sections 8(a) and 8(b) shall be in effect, the Executive agrees that he or she shall not, directly or indirectly, request, recommend or advise any employee of the Company to terminate his or her employment with the Company, for the purposes of providing services for a Prohibited Business, or solicit for employment or recommend to any third party the solicitation for employment of any individual who was employed by the Company or any of its subsidiaries and affiliates at any time during the one year period preceding the Executive’s termination of employment.

Solicitation of Employees. During the period in which the provisions of Sections Section 8(a) and 8(b(b) shall be in effect, the Executive agrees that he or she shall not, directly or indirectly, request, recommend or advise any employee of the Company to terminate his or her employment with the Company, for the purposes of providing services for a Prohibited Business, or solicit for employment or recommend to any third party the solicitation for employment of any individual who was employed by the Company or any of its subsidiaries and affiliates at any time during the one year period preceding the Executive’s termination of employment.

During the period in which the provisions of Sections 8(aSection 7(a) and 8(b(b) shall be in effect, the Executive agrees that he or she shall not, directly or indirectly, request, recommend or advise any employee of the Company to terminate his or her employment with the Company, for the purposes of providing services for a Prohibited Business, or solicit for employment or recommend to any third party the solicitation for employment of any individual who was person who, at the time of such solicitation, is employed by the Company or any of its subsidiaries and affiliates at any time during the one year period preceding the Executive’s termination of employmentaffiliates.

During the period in which the provisions of Sections 8(a) and 8(bSection 7(a) shall be in effect, the Executive agrees that he or she shall not, directly or indirectly, request, recommend or advise any employee of the Company to terminate his or her employment with the Company, for the purposes of providing services for a Prohibited Business, or solicit for employment or recommend to any third party the solicitation for employment of any individual who was person who, at the time of such solicitation, is employed by the Company or any of its subsidiaries and affiliates at any time during affiliates; provided, however that the one year period preceding terms of this provision shall not apply if the Executive’s termination of employmentExecutive terminates this Agreement for Good Reason or the Company terminates this Agreement without cause.

A "Prohibited Business" means any entity in the same or similar business as the Company.

During the period in which the provisions of Sections 8(a) and 8(bSection 7(b) shall be in effect, the Executive agrees that he or she shall not, directly or indirectly, request, recommend or advise any employee of the Company to terminate his or her employment with the Company, for hire or use the purposes services of providing services for a Prohibited Businessany employee of the Company, or solicit for employment or recommend to any third party the solicitation for employment of any individual who was person who, at the time of such solicitation, is employed by the Company or any of its subsidiaries and affiliates at any time during the one year period preceding the Executive’s termination of employmentaffiliates.

Solicitation of Employees. During the period in which the provisions of Sections 8(a9(a) and 8(b(b) shall be in effect, the Executive agrees that he or she shall not, directly or indirectly, request, recommend or advise any employee of the Company Corporation to terminate his or her employment with the Company, for the purposes of providing services for a Prohibited BusinessCorporation, or solicit for employment or recommend to any third party the solicitation for employment of any individual who was person who, at the time of such solicitation, is employed by the Company Corporation, its parent or any of its subsidiaries and affiliates at any time during the one year period preceding the Executive’s termination of employmentaffiliates.

During the period in which the provisions of Sections 8(a) and 8(bSection 7(b) shall be in effect, the Executive agrees that he or she shall not, directly or indirectly, request, recommend or advise any employee of the Company to terminate his or her employment with the Company, for the purposes of providing services for a Prohibited Business, or solicit for employment or recommend to any third party the solicitation for employment of any individual who was person who, at the time of such solicitation, is employed by the Company or any of its subsidiaries and affiliates at any time during the one year period preceding the Executive’s termination of employmentaffiliates.
