Sole Ownership. The Borrower shall not have more than one (1) owner of its membership interests during the term of this Agreement.

In a custody dispute, we will exercise reasonable judgment based on the known facts and we may, in our sole discretion, require proof of ownership, a written property settlement agreement or court decree. • You agree to indemnify and hold us harmless, from and against all loss, damage or expense, including attorneys’ fees, resulting from misrepresentations by you or your representatives or resulting from your Pet’s stay including, without limitation, any person claiming to be the owner of your Pet and any person claiming damage or injury by your Pet.
Sole Ownership. The Holder has all right, title and interest in its beneficial interest in the Prior Notes, and has not endorsed, assigned, sold, transferred, deposited under any agreement, hypothecated, pledged for any bank or brokerage loan, or otherwise in any manner disposed of the Holder’s beneficial interest in the Prior Notes or any interest therein. No person or entity other than the Holder has any interest in the Holder’s beneficial interest in the Prior Notes.

Subject to Section 7.05(3), each Shareholder covenants and agrees with the other parties that (i) it shall remain the sole owner of all of the voting securities of any Wholly-Owned Subsidiary of it that hereafter acquires any Shares so long as such Wholly-Owned Subsidiary holds such Shares, (ii) it will remain the sole manager of any fund managed by it into which any Shares are transferred and (iii) it shall not agree to be or be the subject of or a party to any transaction as a consequence of which Equity Shares or voting interests therein would be or are acquired by a Strategic Competitor of Telesat.
