Common use of Sole Consideration Clause in Contracts

Sole Consideration. Except as specifically provided in this Agreement, the Executive shall be entitled to no compensation or benefits from the Company or its affiliates with respect to the Services and shall not be credited with any service, age, or other credit for purposes of eligibility, vesting, or benefit accrual under any employee benefit plan of the Company or any of its affiliates.

Sole Consideration. Except as specifically provided in this Agreement, the Executive shall be entitled to no compensation or benefits from the Company Bank or its affiliates with respect to the Services Services, and shall not be credited with any service, age, or other credit for purposes of eligibility, vesting, or benefit accrual under any employee benefit plan of the Company Bank or any of its affiliates.

Except as specifically provided in this Agreement, the Executive shall be entitled to no compensation or benefits from the Company Bank or its affiliates with respect to the Services Services, including, without limitation, any bonus or equity awards or other long-term incentive awards, and shall not be credited with any service, age, or other credit for purposes of eligibility, vesting, or benefit accrual under any employee benefit plan of the Company Bank or any of its affiliates.
