Common use of Sole Benefit Clause in Contracts

Sole Benefit. It is expressly acknowledged and agreed that the provisions of this Agreement relating to the rights and obligations of the Members to make any Additional Capital Contributions to the LLC or to make Member Loans are for the sole benefit of the Members and may not be exercised on behalf of the Members, the LLC or invoked or enforced for any other purpose not expressly set forth in this Article 9, by any other Person, including by any lender or any trustee in a bankruptcy proceeding.

Sole Benefit. It is expressly acknowledged and agreed that the provisions of this Agreement relating to the rights and obligations of the Members to make any Additional additional Capital Contributions to the LLC or to make Member Loans any loans to the Company are for the sole benefit of the Members and may not be exercised on behalf of the Members, the LLC Members or invoked or enforced for any other purpose not expressly set forth in this Article 9, by any other Person, including by the holder of any lender Loan documents (as such documents may be amended, restated, increased or superseded) or by any trustee in a bankruptcy proceeding.

Sole Benefit. It is expressly acknowledged and agreed that the provisions of this Agreement relating to the rights and obligations of the Members to make any Additional Initial Capital Contributions to the LLC Contribution or to make Member Loans loans or other reimbursements are for the sole benefit of the Members (or their designated Affiliates) and may not be exercised on behalf of the Members, the LLC Members or invoked or enforced for any other purpose not expressly set forth in this Article 9, by any other PersonPerson (other than a designated Affiliate), including by any lender or any trustee in a bankruptcy proceeding.
