Software Upgrades and Updates. Philips will provide software updates and upgrades consisting of revisions to, and new versions of, software for existing applications. Third party software including, but not limited to operating system licenses, database software licenses, client access licenses, and anti-virus software is not included. Hardware updates and upgrades are not included. Customer has no right to updates and upgrades that are released before the start date of the Agreement. Also, if Customer has an IntelliSpace Basic service agreement, they are only entitled to every other major software release upgrade. If the Agreement expires after Philips notifies Customer that an update or upgrade is available, then Customer is entitled to receive the offered update or upgrade for three (3) month following such termination.

Any other third-party Software is not included. Customer has no right to updates and upgrades that are released before the start date of the Agreement. Software Upgrades and Updates. During the term of the Agreement, the system is eligible for any upgrades or updates released for that model by DuVoice. These upgrades and updates are generally made available as downloadable files, access to which is controlled by a system specific password. At its discretion, DuVoice may use other means to upgrade the system. Technical Support During the term of the Agreement, DuVoice Reseller technicians are entitled to technical support for an unlimited number of incidents. The End User is entitled to Technical support for up to three incidents per year. Technical support includes assistance via telephone from the DuVoice Technical Support Center. DuVoice technicians may also access the system via modem, or Internet access to diagnose problems and / or to assist in programming the system. Technical Training DuVoice Corporation provides regularly scheduled technical training for administration of our products. Classes are limited in size and are conducted over the Internet with a live instructor. Classes feature demonstrations as well as class participation. During the term of the Agreement DuVoice Reseller and End User employees are entitled to access any DuVoice training class on a first come, first served basis. In addition, DuVoice Reseller and End User employees have access to pre-recorded streaming classes available through the DuVoice web site. Application Development The DuVoice Reseller and End User are entitled to receive limited consulting support from DuVoice Corporation for ongoing assistance in developing applications for DuVoice products. Software Upgrades and Updates. Within reasonable time from availability to Licensor's general user base, Licensor will target Licensee to be automatically upgraded to the latest version or patch. Upgrades and Updates are provided to Licensee at no additional fee, including all Documentation describing the purpose and function of the Upgrades and Updates. Additional fees for Professional services may be required for any services required by Licensee in addition to standard implementation performed by Licensor. Licensor reserves the right to determine how and when to develop and apply any Upgrades and Updates.

  • Upgrades and Updates Customer shall be entitled to receive all upgrades and updates Philips makes generally commercially available during the term of the Agreement, subject to the same usage rights, limitations, and restrictions applicable to the originally provided version of InfoView. Custom Modules may need additional modifications to be compatible with the Software upgrades and are, subject to resource availability and may be subject to an additional cost. Updates including bug fixes, shall be prioritized by Philips based on the needs and impact such bugs are having on the total customer base using the InfoView Software.

  • Software Upgrades Software Upgrades consist of new product releases which are issued periodically and may include new functionality, enhancements, and bug fixes. Software Upgrades are provided only for standard hardware platforms and operating systems supported by COMSPOC as described in the Documentation. Software Upgrades will apply only to unmodified Software and commercially released updated versions of the Software. You are responsible for making or arranging for updates to interfaces for nonstandard devices or custom applications. Software Upgrades are provided subject to the terms and conditions of the then current and applicable COMSPOC Software License Agreement, available on COMSPOC’s website at xxxx://xxx.xxxxxxx.xxx/sla or with the deliverable Software or upon request. All major product releases and maintenance releases will be made available and may be shipped directly to you, upon request by contacting your COMSPOC point of contact or xxxxxxx@xxxxxxx.xxx. You may upgrade to the latest product version at any time during the term of the Annual Support and Upgrades Agreement. If you opt not to renew the Annual Support and Upgrade Agreement, You have 60 days from the end of the Annual Support and Upgrades Agreement term to upgrade to the latest product version available prior to the end of the Annual Support and Upgrades Agreement term. If You request an upgrade beyond this 60-day period, You will be required to renew the Annual Support and Upgrades Agreement in order to upgrade to the latest product version.

  • Technology Upgrades Notwithstanding any other provision of this Agreement, Verizon shall have the right to deploy, upgrade, migrate and maintain its network at its discretion. The Parties acknowledge that Verizon, at its election, may deploy fiber throughout its network and that such fiber deployment may inhibit or facilitate CBB’s ability to provide service using certain technologies. Nothing in this Agreement shall limit Verizon's ability to modify its network through the incorporation of new equipment or software or otherwise. CBB shall be solely responsible for the cost and activities associated with accommodating such changes in its own network.

  • Network Upgrades The Transmission Owner shall design, procure, construct, install, and own the Network Upgrades described in Attachment 6 of this Agreement. If the Transmission Owner and the Interconnection Customer agree, the Interconnection Customer may construct Network Upgrades that are located on land owned by the Interconnection Customer. Unless the Transmission Owner elects to pay for Network Upgrades, the actual cost of the Network Upgrades, including overheads, shall be borne initially by the Interconnection Customer.
