Software, Internet, and Hardware. The Client will comply with all software, internet and hardware requirements of the User Manual as updated from time to time. Client is responsible for acquiring and maintaining all approved hardware and software necessary to operate the Service. It is the Client’s sole responsibility to secure the operating environment by use of updated antivirus software, security patches, firewalls and other measures deemed appropriate to provide a secure environment. Client’s use of a Bank-owned scanner, as evidenced in the Service Profile, is restricted to Banks Remote Deposit Capture Service and shall not be authorized for any other use or purpose. Client agrees to maintain and return any Bank-owned hardware immediately upon termination of the Service. Failure to promptly return or properly maintain a Bank-owned scanner may result in a service charge, not to exceed the cost of the scanner. In no event shall Bank be liable for loss or other damages occurring as a result of any failure of such equipment or software to perform.

Software, Internet, and Hardware. The Company will comply with all software, Internet, and hardware requirements of the Remote Check Deposit Agreement issued by the Credit Union and updated from time to time. The available devices are limited to supported Apple/iOS iPhone and Android phones.
Software, Internet, and Hardware. Bank will provide the Check scanning equipment, and retains ownership of any and all equipment supplied to Customer for this service. Customer will comply with all software, Internet and hardware requirements as provided by Bank and as they may be updated from time to time. Bank warrants, that upon delivery, the equipment provided will conform to Bank’s then current applicable standards. Bank will not be responsible in any manner for any deficiency caused in whole or in part by inaccurate or otherwise deficient data programs, equipment or communication facilities provided by Customer or third parties other than Bank. Customer shall bear the entire risk of loss, theft, damage, or destruction of Equipment from the data of installation until return shipment at their own expense to Bank. Such loss, theft, damage, or destruction of equipment shall not relieve Customer of the obligation to make payments or to comply with any other obligation under this Agreement. THE FOREGOING WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

In addition to having the necessary requirements for operating Cash Management from your computer(s), you must also have up to date anti-virus software installed on your computer to help protect your personal information when using the Services. We also strongly recommend the use of anti-spyware and anti-malware programs on your computer(s). Using anti- spyware/ malware software increases the security of your digital banking experience.

  • Software Title and ownership to Existing Software Product(s) delivered by Contractor under the Contract that is normally commercially distributed on a license basis by the Contractor or other independent software vendor proprietary owner (“Existing Licensed Product”), embedded in the Custom Products, shall remain with Contractor or the proprietary owner of other independent software vendor(s) (ISV). Effective upon acceptance, such Product shall be licensed to Authorized User in accordance with the Contractor or ISV owner’s standard license agreement, provided, however, that such standard license, must, at a minimum: (a) grant Authorized User a non-exclusive, perpetual license to use, execute, reproduce, display, perform, adapt (unless Contractor advises Authorized User as part of Contractor’s proposal that adaptation will violate existing agreements or statutes and Contractor demonstrates such to the Authorized User’s satisfaction) and distribute Existing Licensed Product to the Authorized User up to the license capacity stated in the Purchase Order or work order with all license rights necessary to fully effect the general business purpose(s) stated in the Bid or Authorized User’s Purchase Order or work order, including the financing assignment rights set forth in paragraph (c) below; and (b) recognize the State of New York as the licensee where the Authorized User is a state agency, department, board, commission, office or institution. Where these rights are not otherwise covered by the ISV’s owner’s standard license agreement, the Contractor shall be responsible for obtaining these rights at its sole cost and expense. The Authorized User shall reproduce all copyright notices and any other legend of ownership on any copies authorized under this clause. Open source software is developed independently of Contractor and may be governed by a separate license (“open source software”). If the open source software is governed by a separate License and provided under this Contract, Contractor shall provide a copy of that license in the applicable Documentation and the Authorized User's license rights and obligations with respect to that open source software shall be defined by those separate license terms and subject to the conditions, if any, therein. Nothing in this Contract shall restrict, limit, or otherwise affect any rights or obligations the Authorized User may have, or conditions to which the Authorized User may be subject, under such separate open source license terms.

  • Hardware and Software In order to use the Services, you must obtain and maintain, at your expense, compatible mobile hardware and software as specified by Credit Union from time to time. Credit Union is not responsible for any third party software you may need to use the Services. Any such software is accepted by you as is and is subject to the terms and conditions of the software agreement you enter into directly with the third party software provider at time of download and installation.

  • Software Use Case Red Hat Enterprise Virtualization Supported on physical hardware solely to support virtual quests. Red Hat Enterprise Virtualization is designed to run and manage virtual instances and does not support user-space applications. Red Hat Enterprise Virtualization may be used as a virtual desktop infrastructure solution, however, the Subscription does not come with any software or support for the desktop operating system. You must purchase the operating system for each instance of a desktop or server separately.

  • Hardware IF HARDWARE IS IDENTIFIED ON A TRANSACTION DOCUMENT, THE SALE AND USE OF THE HARDWARE WILL BE GOVERNED BY TERMS OTHER THAN THIS XXXX. OT DISCLAIMS ALL WARRANTIES AND LIABILITY WITH RESPECT TO THE HARDWARE.

  • Software Upgrades Software Upgrades consist of new product releases which are issued periodically and may include new functionality, enhancements, and bug fixes. Software Upgrades are provided only for standard hardware platforms and operating systems supported by COMSPOC as described in the Documentation. Software Upgrades will apply only to unmodified Software and commercially released updated versions of the Software. You are responsible for making or arranging for updates to interfaces for nonstandard devices or custom applications. Software Upgrades are provided subject to the terms and conditions of the then current and applicable COMSPOC Software License Agreement, available on COMSPOC’s website at xxxx://xxx.xxxxxxx.xxx/sla or with the deliverable Software or upon request. All major product releases and maintenance releases will be made available and may be shipped directly to you, upon request by contacting your COMSPOC point of contact or xxxxxxx@xxxxxxx.xxx. You may upgrade to the latest product version at any time during the term of the Annual Support and Upgrades Agreement. If you opt not to renew the Annual Support and Upgrade Agreement, You have 60 days from the end of the Annual Support and Upgrades Agreement term to upgrade to the latest product version available prior to the end of the Annual Support and Upgrades Agreement term. If You request an upgrade beyond this 60-day period, You will be required to renew the Annual Support and Upgrades Agreement in order to upgrade to the latest product version.

  • Third Party Software 1. The Software may contain third party software that requires and/or additional terms and conditions.
