Software Assurance. 8.1 A maintenance service for the Software (“Software Assurance”) is available for the Software and, if purchased, will be provided by Modality Systems in accordance with the terms set forth in Your Software Documentation and for as long as the Software Assurance Fee is paid (or, if included as part of Your Licence, for the duration of the term of the Licence).

Software Assurance. As set forth on the Invoice if Licensee has licensed Business Management Solution, Service Management Stream, Asset Management Stream and/or Essentials Management Stream, Licensee shall pay to the Cireson Reseller a fee equal to Ten Percent (10%) of the total License Fees (“Software Assurance Fee”) in exchange for one (1) year of Software Assurance as described in the Software Assurance Policy. All Software Assurance Fees shall be earned when paid and shall be non-refundable. No pro-rata refunds will be issued for cancellation of Software Assurance.

When Software Assurance is purchased with a perpetual license, the Software Assurance will run for one year (12 months) and will automatically renew, unless Licensee in writing have terminated the renewal with 60 days’ notice to the anniversary date. When a license is obtained through subscription, the Software Assurance is included during the period the subscription is obtained. Nothing in this Section shall entitle Licensee to receive Software which is separately priced and licensed by TimeXtender as a new product.

Software Assurance. Contractor represents and warrants that its software and any related systems and/or services related to its software (collectively, the “Software”) furnished by Contractor to County will not infringe upon or violate any patent, copyright, trademark, trade secret, or any other proprietary right of any third party. As long as County is not in violation of Section 2 of Exhibit B, Contractor will, at its expense, defend any suit brought against County and will indemnify County against an award of damages and costs (including reasonable attorney’s fees, court costs and costs of appeal), made against County by settlement or final judgment of a court that is based on a claim that the use of the Contractor’s Software infringes an intellectual property right ofa thirdparty. Such defense andindemnity shall survive termination or expiration of the Agreement and the Contractor’s liability for the above is not limited by any limitation of liability clauses that may appear in any document executed by the Parties.
Software Assurance. Software Assurance Services is an optional service that Customers under the Perpetual License Program can purchase in order to get the Upgrade Entitlement for a prescribed period. This gives Customer the entitlement to receive new Updates and Upgrades to the Software as such are made generally available to Customers from Entrust, provided that Customer has purchased Software Assurance Services. Software Assurance Services also entitles Customers to (i) access the Identity Mobile App for its Users, or (ii) access the geofencing functionality of the Software. Customer’s Software Assurance Services must be active at the time when the relevant Updates and/or Upgrades to the Software are made generally available to Customers, or at the time Customer (or its Users) access the Identity Mobile App or the geofencing functionality of the Software. Software Assurance Services do not include Direct Support Services. Customer is only entitled to Software Assurance Services if ordered and paid for by Customer. Software Assurance Services will not include any releases of the Software that Entrust, at its sole discretion, determines to be a separate product, or for which Entrust charges its Customers extra or separately. The terms of this Agreement and the additional terms set forth in the Software Assurance Services Documentation (or otherwise made available by Entrust to Customer) apply to the Software Assurance Services unless a new end-user-license agreement between Entrust and Customer replaces this Agreement.
